This Purchase Order is issued by Meridian Digital Solutions Ltd. to formally engage the services of a qualified UX UI Designer based in United Kingdom Birmingham for the purpose of designing, prototyping, and delivering a comprehensive user experience and user interface overhaul for our flagship enterprise software platform, "MeridianFlow." The UX UI Designer shall be responsible for all aspects of the design process, including but not limited to user research, information architecture, wireframing, visual design, interactive prototyping, usability testing, and the production of final design assets ready for development handoff.

The engagement is specifically scoped to the UX UI Designer role and does not include front-end development, backend engineering, or project management services. The UX UI Designer shall operate from the supplier's premises in United Kingdom Birmingham and shall attend in-person stakeholder meetings at the buyer's Birmingham office no fewer than four (4) times per month during the active engagement period.

5.1 This Purchase Order constitutes a binding agreement between Meridian Digital Solutions Ltd. and Apex Creative Design Studio Ltd. upon signature by both parties. All services described herein shall be performed by the designated UX UI Designer or, with prior written consent from the buyer, by a suitably qualified substitute of equivalent experience.

5.2 The UX UI Designer shall comply with all applicable data protection regulations, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, particularly given that user research activities will be conducted within United Kingdom Birmingham and may involve the processing of personal data.

5.3 All intellectual property rights in the final deliverables, including but not limited to design files, prototypes, wireframes, and documentation produced by the UX UI Designer, shall vest exclusively in Meridian Digital Solutions Ltd. upon full payment of the amounts specified in this Purchase Order.

5.4 The supplier shall provide weekly progress reports to the buyer's project lead. Any anticipated delays exceeding five (5) business days must be communicated in writing within 48 hours of identification.

5.5 Payment shall be made via BACS transfer to the supplier's designated bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 4% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

5.6 This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom Birmingham.

5.7 The UX UI Designer shall maintain professional indemnity insurance with a minimum cover of £2,000,000 for the duration of the engagement and shall provide a certificate of insurance upon request.

By signing below, both parties acknowledge and agree to the terms, conditions, scope of work, and financial obligations set forth in this Purchase Order for the engagement of a UX UI Designer in United Kingdom Birmingham.
