This Purchase Order is issued by Northbridge Digital Solutions Ltd. to Creative Pixel Studio Ltd. for the engagement of a senior UX UI Designer to deliver comprehensive user experience and user interface design services for the company's flagship e-commerce platform. The UX UI Designer shall be based in United Kingdom Manchester and is expected to work primarily from the buyer's office located at 142 Deansgate, Manchester, with a minimum of three (3) days per week on-site and the remaining days permitted as remote work from the United Kingdom Manchester metropolitan area.
The scope of work for the UX UI Designer includes, but is not limited to: conducting user research and usability testing sessions with target demographics in the United Kingdom Manchester region; developing wireframes, interactive prototypes, and high-fidelity mockups; designing responsive interfaces for desktop, tablet, and mobile platforms; establishing and documenting a complete design system including component libraries, typography scales, colour palettes, and iconography; performing heuristic evaluations and accessibility audits in compliance with WCAG 2.1 AA standards; and collaborating with the in-house development team to ensure pixel-perfect implementation of all design deliverables.

Payment against this Purchase Order shall be made in monthly instalments aligned to the project milestones outlined in Section 3. The buyer shall issue payment within thirty (30) calendar days of receipt of a valid invoice from the supplier. All payments shall be made via BACS bank transfer to the supplier's designated account. Late payments shall accrue interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. The supplier is required to include the Purchase Order number (UK-MAN-2025-00472) on all invoices for proper reconciliation.
5.1 This Purchase Order constitutes a binding agreement between the parties upon signature by both the authorised representative of the buyer and the supplier. All services shall be performed in United Kingdom Manchester unless otherwise agreed in writing.
5.2 The UX UI Designer engaged under this order shall be a qualified professional with a minimum of seven (7) years of demonstrable experience in user experience and user interface design, with a portfolio evidencing work on e-commerce platforms of comparable scale.
5.3 All intellectual property, including but not limited to design files, source documents, prototypes, and design system assets created by the UX UI Designer in the course of this engagement, shall become the sole property of Northbridge Digital Solutions Ltd. upon full payment of the amounts due under this Purchase Order.
5.4 The supplier shall ensure that the UX UI Designer complies with all applicable data protection regulations, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, particularly when handling user research data collected in United Kingdom Manchester.
5.5 Either party may terminate this Purchase Order with fourteen (14) days' written notice in the event of a material breach by the other party. Upon termination, the buyer shall pay for all services rendered up to the date of termination.
5.6 The supplier shall maintain adequate professional indemnity insurance with a minimum cover of £5,000,000 for the duration of the engagement. Certificates of insurance shall be provided upon request.
5.7 This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of United Kingdom Manchester.
All deliverables produced by the UX UI Designer shall be submitted to the buyer's project manager for review and acceptance within five (5) business days of delivery. Failure to raise written objections within this period shall constitute deemed acceptance. The project commencement date is 1 July 2025, and the anticipated completion date is 30 November 2025, subject to the milestone schedule attached as Appendix A to this Purchase Order.
