This Purchase Order authorizes the procurement of comprehensive UX UI Designer services to be delivered by Windy City Design Collective LLC for the benefit of Lakefront Digital Solutions, Inc. The UX UI Designer engagement is specifically scoped for projects to be executed within the United States Chicago metropolitan area, leveraging the local talent pool, design community resources, and the unique user demographic characteristics of the Chicago market.

The UX UI Designer shall be responsible for conducting end-to-end user experience research, interface design, prototyping, usability testing, and design system development. All deliverables must align with the buyer's brand identity and meet the accessibility standards required for products serving the diverse population of United States Chicago. The UX UI Designer is expected to conduct in-person user interviews, focus groups, and usability sessions at the buyer's office located in the United States Chicago Loop district, as well as at public venues throughout the city to gather authentic user feedback.

• Payment shall be made in accordance with the milestone schedule outlined in Section 5. Each milestone payment is due within thirty (30) calendar days of written acceptance by the buyer.
• A 15% advance payment of $10,914.75 is due upon execution of this Purchase Order to secure the UX UI Designer's availability for the United States Chicago project timeline.
• Payments shall be made via ACH transfer to the vendor's designated business account. No cash payments are accepted under this Purchase Order.
• Late payments shall accrue interest at a rate of 1.5% per month, in compliance with Illinois commercial code provisions applicable in United States Chicago.
• All invoices must reference this Purchase Order number (PO-2025-CHIC-04872) for proper accounting reconciliation.

• Scope of Work: The UX UI Designer shall perform all services in strict accordance with the project brief attached as Exhibit A to this Purchase Order. Any changes to scope must be documented via a formal Change Order signed by both parties.
• Location Requirement: All on-site work, user research sessions, and collaborative workshops must be conducted within the United States Chicago metropolitan area. The UX UI Designer must maintain a primary working presence in United States Chicago for the duration of the engagement.
• Intellectual Property: Upon full payment, all work product created by the UX UI Designer, including but not limited to wireframes, mockups, design systems, prototypes, and research documentation, shall become the sole property of Lakefront Digital Solutions, Inc.
• Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies disclosed during the engagement. This obligation survives termination of this Purchase Order for a period of five (5) years.
• Compliance: The UX UI Designer shall comply with all applicable federal, Illinois state, and United States Chicago municipal regulations, including but not limited to ADA accessibility standards, Illinois Personal Information Protection Act, and local business licensing requirements.
• Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, the buyer shall pay for all services rendered and milestones completed through the termination date.
• Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Cook County, United States Chicago, in accordance with the rules of the American Arbitration Association.
• Insurance: The UX UI Designer shall maintain professional liability insurance with a minimum coverage of $1,000,000 per occurrence throughout the term of this Purchase Order.
