The scope of this engagement encompasses the full-spectrum design of user experience and user interface elements for the buyer's flagship enterprise application, "Meridian Platform," which serves over 200,000 active users across the western United States.

The selected UX UI Designer shall be responsible for conducting comprehensive user research, developing wireframes and interactive prototypes, designing responsive visual interfaces, establishing a cohesive design system, and performing usability testing sessions. All deliverables must adhere to the latest accessibility standards (WCAG 2.1 AA) and align with the buyer's brand guidelines. The UX UI Designer is expected to work primarily from the Creative Interface Studio office located in downtown Los Angeles, with occasional on-site collaboration at the buyer's Wilshire Boulevard headquarters.

Payment for this Purchase Order shall be structured as follows: 30% upon execution of this document, 40% upon completion of the High-Fidelity UI Design phase, and 30% upon final delivery and acceptance of all deliverables. All payments shall be made via wire transfer to the seller's designated bank account in Los Angeles, California. Late payments shall incur a penalty of 1.5% per month on the outstanding balance. The buyer reserves the right to withhold payment for any deliverable that does not meet the specifications outlined in this Purchase Order or the attached Statement of Work.

The UX UI Designer shall commence work on July 1, 2025, and complete all deliverables no later than October 15, 2025. All project meetings, design reviews, and usability testing sessions shall be conducted in person at either the seller's Los Angeles studio or the buyer's office, both located within the United States Los Angeles area. Weekly progress reports shall be submitted every Friday by 5:00 PM Pacific Time. Any delays exceeding five business days must be communicated in writing to the buyer's procurement department within 24 hours of identification.

This Purchase Order is governed by the laws of the State of California and the federal laws of the United States. Any disputes arising from this agreement shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association. The UX UI Designer warrants that all work products shall be original, free from intellectual property infringement, and delivered in formats compatible with the buyer's development environment. Confidentiality obligations shall survive the termination of this engagement for a period of three (3) years. This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein. Neither party may assign its obligations under this Purchase Order without the prior written consent of the other party.
