The UX UI Designer engaged under this Purchase Order shall be responsible for conducting user research, developing wireframes, creating high-fidelity interactive prototypes, establishing and maintaining a comprehensive design system, performing usability testing sessions, and delivering final production-ready interface assets. The UX UI Designer is expected to collaborate closely with the product management, engineering, and marketing teams based in United States San Francisco to ensure alignment with business objectives and user needs.

Terms and Conditions

Scope of Work: The UX UI Designer shall perform all duties and deliverables as outlined in this Purchase Order and the attached Statement of Work (SOW-2025-0091). Any work beyond the defined scope requires a written change order approved by both parties.
Work Location: All on-site work shall be conducted at the buyer's premises in United States San Francisco, CA 94103. Remote collaboration is permitted for up to 20% of total hours, provided the UX UI Designer maintains a primary base of operations within the United States San Francisco area.
Timeline: The UX UI Designer shall commence work on July 1, 2025, and complete all deliverables by October 31, 2025. Milestone-based progress reports are due bi-weekly.
Payment Schedule: Payment shall be made in three equal installments: 33% upon execution of this Purchase Order, 33% upon completion of the High-Fidelity UI Design phase, and 34% upon final acceptance of all deliverables. Invoices are payable Net 30 days from receipt.
Intellectual Property: All work product, including but not limited to wireframes, prototypes, design system components, and final UI assets created by the UX UI Designer under this Purchase Order, shall be the sole and exclusive property of Meridian Digital Solutions, Inc. upon full payment.
Confidentiality: The UX UI Designer agrees to maintain strict confidentiality regarding all proprietary information, user data, and business strategies encountered during the engagement in United States San Francisco. A mutual NDA (NDA-2025-0044) is incorporated by reference.
Compliance: All design deliverables must comply with the Americans with Disabilities Act (ADA) and WCAG 2.1 Level AA accessibility standards. The UX UI Designer shall ensure full compliance throughout the project lifecycle.
Termination: Either party may terminate this Purchase Order with 15 days written notice. In the event of termination, the buyer shall compensate the UX UI Designer for all work completed and accepted up to the termination date.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, with jurisdiction in the Superior Court of San Francisco County, United States San Francisco.
Warranty: The UX UI Designer warrants that all deliverables shall be original, free from defects, and performed in a professional and workmanlike manner consistent with industry standards in the United States San Francisco design community.

Acceptance and Authorization

By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work defined in this Purchase Order for the engagement of a UX UI Designer in United States San Francisco.
