This Purchase Order is issued to formally authorize and request the engagement of a qualified UX UI Designer to deliver comprehensive user experience and user interface design services. The UX UI Designer shall be based and operate out of Vietnam Ho Chi Minh City, providing on-site and remote collaboration support to the Buyer's product development team. • Payment Schedule: 30% advance payment upon acceptance of this Purchase Order; 40% upon completion of Deliverables 1–3; 30% upon final delivery and acceptance of all remaining deliverables.

• Currency: All amounts are denominated in United States Dollars (USD). Applicable Vietnamese tax obligations (VAT at 10%) shall be borne by the Seller as per local regulations in Vietnam Ho Chi Minh City.
• Payment Due: Invoices are payable within 30 days of receipt. Late payments shall accrue interest at 1.5% per month.

• This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both authorized representatives.
• The UX UI Designer assigned to this engagement must possess a minimum of five (5) years of professional experience in user experience and user interface design, with a demonstrated portfolio of mobile and web applications.
• All work shall be performed primarily from the Seller's office located in Vietnam Ho Chi Minh City, with at least three (3) days per week of on-site presence at the Buyer's designated project location, if applicable.
• The UX UI Designer shall adhere to the Buyer's brand guidelines, accessibility standards, and project management protocols throughout the engagement.
• Intellectual property rights for all deliverables created under this Purchase Order shall transfer to the Buyer upon full payment. The Seller retains the right to display completed work in their portfolio with prior written consent from the Buyer.
• Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all work completed and accepted up to the termination date.
• Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, user data, and business strategies shared during the course of this engagement. This obligation survives the termination of this Purchase Order for a period of three (3) years.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government regulations in Vietnam Ho Chi Minh City, or pandemics.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, USA, with disputes subject to arbitration in Singapore under the rules of the Singapore International Arbitration Centre (SIAC).

The UX UI Designer shall report progress to the Buyer's designated Project Manager on a weekly basis via scheduled video conference calls (minimum 2 hours per week) and written status reports every Friday. All project communication shall be conducted in English.
