This Purchase Order is issued by Harare Digital Solutions (Pvt) Ltd to formally authorise and commission the engagement of a qualified UX UI Designer to deliver comprehensive user experience and user interface design services for the National Banking Platform project. The scope of work under this Purchase Order is to be executed in Zimbabwe Harare, and all deliverables must comply with the standards set forth by the Zimbabwe Information and Communication Technology Authority (ZICTA) and the Reserve Bank of Zimbabwe digital services guidelines. This Purchase Order constitutes a binding agreement between the parties and supersedes all prior verbal or written communications regarding the engagement of the UX UI Designer for this project.

The contracted UX UI Designer shall provide the following services as outlined in this Purchase Order:

• Conduct user research, stakeholder interviews, and usability audits within the Zimbabwe Harare metropolitan area to understand local user behaviour, accessibility needs, and cultural design considerations specific to the Zimbabwean market.
• Develop wireframes, interactive prototypes, and high-fidelity mockups for the mobile and web banking application, ensuring full compliance with WCAG 2.1 AA accessibility standards.
• Design a complete design system including component libraries, typography scales, colour palettes, and iconography tailored for the Zimbabwe Harare user demographic.
• Perform iterative usability testing sessions with a minimum of 25 local participants recruited from the Zimbabwe Harare region, documenting findings and incorporating feedback into subsequent design iterations.
• Deliver final production-ready design assets, annotated specifications, and developer handoff documentation via Figma and Adobe XD.
• Provide a minimum of three (3) on-site review meetings per month at the client's office in Harare, Zimbabwe, and unlimited remote collaboration sessions.

Payment under this Purchase Order shall be made in the following instalments, all denominated in United States Dollars (USD) and payable via bank transfer to the vendor's account at CBZ Bank, Harare Branch, Zimbabwe:

• 30% Advance Payment: Due upon signature of this Purchase Order – $14,150.18
• 40% Milestone Payment: Due upon approval of high-fidelity designs (Week 10) – $18,866.90
• 30% Final Payment: Due upon acceptance of final deliverables and handoff (Week 12) – $14,150.18

All payments are subject to a 30-day credit period from the date of invoice. Late payments shall attract interest at the rate of 2% per month as stipulated under Zimbabwean commercial law.

1. This Purchase Order is governed by the laws of the Republic of Zimbabwe. Any disputes arising from this Purchase Order shall be resolved through arbitration in Zimbabwe Harare in accordance with the Arbitration Act [Chapter 7:15] of Zimbabwe.
2. The UX UI Designer shall maintain professional indemnity insurance with a minimum cover of USD 500,000 for the duration of the engagement and shall provide a certificate of insurance upon request.
3. All intellectual property rights in the deliverables produced under this Purchase Order shall vest in Harare Digital Solutions (Pvt) Ltd upon full and final payment. The UX UI Designer retains the right to display the work in a professional portfolio with prior written consent.
4. The vendor shall comply with all applicable data protection regulations under the Zimbabwe Data Protection Act [Chapter 10:27] when handling user research data collected in Zimbabwe Harare.
5. Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the vendor shall be compensated for all work completed up to the date of termination at the pro-rata rate specified herein.
6. All work shall be performed primarily at the client's premises in Harare, Zimbabwe, or at the vendor's registered office in Avondale, Harare, Zimbabwe. Remote work is permitted with prior written approval.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the UX UI Designer in Zimbabwe Harare.
