All goods and services specified in this Purchase Order shall be delivered to the Kabul Veterinary & Animal Health Directorate headquarters located in Darulaman District, Afghanistan Kabul, or to such alternative locations within the Kabul region as may be designated in writing by the Buyer. The Supplier shall bear full responsibility for international shipping, customs clearance at the Afghanistan Kabul border crossing, and final delivery to the designated site. Delivery of all physical items shall be completed no later than 45 calendar days from the date of this Purchase Order. The Veterinarian services and training sessions outlined in Items 01, 02, and 06 shall commence within 30 days of the Purchase Order effective date and shall be conducted in accordance with the operational calendar approved by the Afghanistan Kabul Animal Health Authority.
- Payment: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice and confirmed delivery of all items listed in this Purchase Order. Payment shall be processed via wire transfer to the Supplier's designated bank account. All transactions related to this Purchase Order shall be conducted in US Dollars (USD).
- Quality Assurance: All veterinary pharmaceuticals, diagnostic equipment, and supplies must meet or exceed the quality standards established by the Afghanistan Kabul Ministry of Agriculture, Irrigation and Livestock. The Supplier warrants that all Veterinarian-grade products are new, unexpired, and manufactured in compliance with Good Manufacturing Practices (GMP). A certificate of analysis and veterinary product registration documentation must accompany each shipment.
- Warranty: The Supplier provides a minimum twelve (12) month warranty on all diagnostic equipment and surgical instruments. Any defective items identified within the warranty period shall be replaced at no additional cost to the Buyer. The Veterinarian services are warranted to be performed by licensed and qualified veterinary professionals.
- Compliance: The Supplier shall comply with all applicable laws and regulations of the Islamic Emirate of Afghanistan, including import restrictions, veterinary product registration requirements, and labor laws governing the deployment of foreign Veterinarian personnel in Afghanistan Kabul.
- Force Majeure: Neither party shall be held liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, political instability, border closures affecting the Afghanistan Kabul region, or pandemics. The affected party shall notify the other in writing within five (5) business days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration in Kabul, Afghanistan, in accordance with the rules of the Afghanistan Arbitration Center.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, pricing structures, and operational details exchanged in connection with this Purchase Order and the associated Veterinarian programs in Afghanistan Kabul.
- Amendments: No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the procurement of Veterinarian services and supplies in Afghanistan Kabul. This document constitutes a binding agreement effective from the date of the last signature below.
