- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Australia Sydney.
- Payment Terms: Payment is due within thirty (30) calendar days from the date of invoice receipt. Payment shall be made via Electronic Funds Transfer (EFT) to the supplier's nominated Australian bank account. The Buyer, as a registered Veterinarian practice in Australia Sydney, is GST-registered and will claim input tax credits in accordance with ATO regulations.
- Delivery: All goods must be delivered to the Buyer's premises at 124 Parramatta Road, Ultimo, Sydney NSW 2007, Australia, no later than 28 June 2025. Delivery must occur between 08:00 and 16:00 AEST on business days. The supplier bears all risk of loss or damage until goods are received and signed for by the Buyer's authorised representative.
- Quality and Compliance: All pharmaceutical products and veterinary supplies must comply with the standards set by the Australian Pesticides and Veterinary Medicines Authority (APVMA) and the Therapeutic Goods Administration (TGA). The Veterinarian in charge, Dr. Sarah Mitchell, reserves the right to reject any items that do not meet Australian regulatory standards or that are past their expiry date by more than six (6) months.
- Warranty: The supplier warrants that all goods supplied under this Purchase Order are new, unused, free from defects, and fit for their intended veterinary clinical purpose. A minimum twelve (12) month manufacturer's warranty applies to all diagnostic equipment items (Items 04).
- Intellectual Property and Branding: All trademarks, product names, and proprietary formulations referenced in this Purchase Order remain the intellectual property of their respective manufacturers. The Buyer acknowledges that this Purchase Order does not grant any rights beyond the purchase and clinical use of the specified veterinary products.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters affecting the Australia Sydney region, government-imposed restrictions, or supply chain disruptions.
- Confidentiality: Both parties agree to maintain the confidentiality of all pricing, commercial terms, and clinical procurement data exchanged in connection with this Purchase Order. This obligation survives termination for a period of three (3) years.
- Amendments: Any amendments to this Purchase Order must be made in writing and signed by authorised representatives of both the Veterinarian practice and the supplier. Verbal agreements or email confirmations alone do not constitute valid amendments.
- Dispute Resolution: In the event of a dispute, both parties shall first attempt to resolve the matter through good-faith negotiation. If unresolved within fourteen (14) days, the matter may be referred to mediation under the Mediation Act 2011 (NSW) before proceeding to litigation in the courts of Australia Sydney.
This Purchase Order is authorised and executed by the undersigned, who confirm that they have the legal authority to bind their respective organisations to the terms set forth herein. By signing, the Veterinarian practice in Australia Sydney commits to the procurement of the listed veterinary supplies, and the supplier commits to delivering the goods in accordance with the specified terms.
