Terms & Conditions of This Purchase Order
- Delivery: All items listed in this Purchase Order must be delivered to the Dhaka City Veterinary Clinic & Animal Hospital premises at Banani, Dhaka-1213, Bangladesh, no later than 30 June 2025. The supplier is responsible for all transportation costs within Dhaka city limits.
- Payment Terms: Payment shall be made within 30 days of confirmed delivery and acceptance of goods. A 40% advance payment (BDT 1,029,820.00) shall be transferred via bank transfer to the supplier's account at BRAC Bank, Dhaka Branch, upon signing of this Purchase Order. The remaining 60% balance shall be settled after final inspection and sign-off by the Chief Veterinarian.
- Quality Assurance: All veterinary pharmaceuticals, vaccines, and medical devices must carry valid VDF&FCD registration numbers and BSTI certification. The supplier must provide batch numbers, manufacturing dates, and expiry dates for all consumable items. Any item found to be substandard, expired, or non-compliant with Bangladesh regulatory standards shall be rejected at no additional cost to the purchasing party.
- Warranty: The portable veterinary X-ray machine and anesthesia machines carry a minimum 2-year manufacturer's warranty covering parts and labor. The supplier shall provide on-site technical support in Dhaka for the duration of the warranty period.
- Installation & Training: The supplier shall arrange for professional installation of the X-ray machine and anesthesia units at the Dhaka facility. A minimum of 4 hours of hands-on training for the veterinary staff shall be provided by certified technicians at no extra charge.
- Cold Chain Compliance: All vaccines and temperature-sensitive veterinary medications must be transported in validated cold-chain equipment maintaining 2°C to 8°C throughout transit within Dhaka. A temperature log must accompany each shipment.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. In the event of failure to resolve, the matter shall be referred to the appropriate commercial court in Dhaka, Bangladesh, in accordance with the laws of the People's Republic of Bangladesh.
- Validity: This Purchase Order is valid for 14 calendar days from the date of issue. The supplier must confirm acceptance in writing within 5 working days.
- Force Majeure: Neither party shall be held liable for delays caused by natural disasters, government-imposed restrictions, or other events beyond reasonable control, as defined under Bangladeshi commercial law.
