Terms and Conditions of This Purchase Order
- This Purchase Order is issued by Montreal Veterinary Services Inc., a Veterinarian practice registered in the province of Quebec, Canada Montreal, and is governed by the Civil Code of Quebec and applicable federal Canadian commercial law.
- All items listed in this Purchase Order are intended exclusively for use by licensed Veterinarian professionals at the Canada Montreal clinic located at 4520 Boulevard Saint-Laurent. The Vendor acknowledges that the equipment is for veterinary medical purposes and must meet the standards set by the Quebec College of Veterinarians.
- Delivery shall be made to the Buyer's facility in Canada Montreal no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days entitles the Buyer to cancel this Purchase Order without penalty and seek alternative sourcing.
- Payment shall be remitted in Canadian Dollars (CAD) within thirty (30) days of receipt of a valid invoice from the Vendor. The Veterinarian practice reserves the right to withhold payment for any items that do not conform to the specifications outlined in this Purchase Order.
- All equipment must be new, unused, and accompanied by full manufacturer warranties. The Vendor shall provide all necessary documentation, including safety data sheets, calibration certificates, and compliance records required for Veterinarian practice in Canada Montreal.
- The Vendor warrants that all pharmaceutical storage and diagnostic equipment complies with Health Canada regulations and Quebec provincial health authority requirements applicable to Veterinarian clinics in Canada Montreal.
- This Purchase Order becomes binding upon written acceptance by both parties. Any modifications to scope, quantity, or pricing must be documented in a written amendment signed by the authorized Veterinarian representative and the Vendor's account manager.
- Disputes arising from this Purchase Order shall be resolved through mediation in Canada Montreal, Quebec, before proceeding to litigation in the Superior Court of Quebec.
- The Vendor shall maintain professional liability insurance with a minimum coverage of CAD $2,000,000 for the duration of this Purchase Order and any associated service contracts.
