This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto. The vendor warrants that all veterinary supplies, medications, and diagnostic equipment listed herein are new, unused, and in full compliance with the Food and Drugs Act (Canada) and the Ontario Veterinary Medical Association (OVMA) regulatory standards. Any item found to be defective, expired, or non-conforming upon receipt shall be returned at the vendor's expense within fourteen (14) calendar days of delivery. Payment shall be remitted via electronic funds transfer (EFT) to the vendor's designated Canadian banking institution within thirty (30) days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the Ontario Sale of Goods Act. This Purchase Order does not constitute a binding contract until countersigned by both parties. Any amendments to this document must be made in writing and signed by the authorized Veterinarian representative and the vendor's procurement manager.
