All items specified in this Purchase Order shall be delivered to the premises of Clínica Veterinaria Los Andes, located at Av. Providencia 1245, Of. 803, Providencia, Santiago, Chile. The supplier is required to coordinate delivery with the clinic's operations manager, Dra. Carolina Fuentes, no fewer than 48 hours prior to the scheduled delivery date. Given the sensitive nature of veterinary pharmaceuticals and diagnostic reagents, all temperature-controlled items must be transported in validated cold-chain packaging compliant with the sanitary regulations enforced by the Instituto de Salud Pública de Chile (ISP) and the Superintendencia de Salud. Delivery within the Santiago Metropolitan Region is expected within ten (10) business days from the date of this Purchase Order. The supplier bears full responsibility for any damage, loss, or spoilage of veterinary supplies during transit within Chile.

6.1 This Purchase Order is governed by the commercial laws of the Republic of Chile, including the Código de Comercio and applicable regulations of the Servicio Nacional de Consumidor (SERNAC). Any disputes arising from this transaction shall be resolved in the competent courts of Santiago, Chile.

6.2 All veterinary pharmaceuticals and controlled substances included in this order must comply with the registration and labeling requirements established by the Instituto de Salud Pública de Chile and the regulations of the Colegio de Veterinarios de Chile. The supplier warrants that all products are legally authorized for veterinary use in Chile and carry valid sanitary permits.

6.3 The buyer reserves the right to inspect all delivered items upon receipt at the Santiago clinic. Any items found to be damaged, expired, or non-conforming to the specifications in this Purchase Order shall be rejected and replaced at the supplier's sole expense within five (5) business days.

6.4 Payment shall be made via electronic bank transfer (transferencia electrónica) to the supplier's designated account in Chile, within thirty (30) calendar days of the date of the supplier's invoice, provided that all goods have been received and inspected satisfactorily.

6.5 The supplier shall provide a detailed invoice (factura) in accordance with the requirements of the Servicio de Impuestos Internos (SII) of Chile, including the RUT of both parties, the applicable IVA rate of 19%, and a complete itemization matching this Purchase Order.

6.6 This Purchase Order may be modified only by mutual written agreement between the Lead Veterinarian of the buyer and the Sales Director of the supplier. No verbal modifications are binding.
