TERMS AND CONDITIONS

This Purchase Order is issued by Guangzhou PetCare Veterinary Clinic Co., Ltd., a licensed Veterinarian practice registered in China Guangzhou, and constitutes a binding procurement request for the veterinary medical supplies and equipment listed above.
All items must comply with the National Medical Products Administration (NMPA) of the People's Republic of China and the Guangdong Provincial Veterinary Drug Administration regulations. The supplier shall provide valid NMPA registration certificates, import licenses (where applicable), and quality inspection reports for every line item prior to delivery in China Guangzhou.
Delivery shall be made to the clinic warehouse address specified above in Tianhe District, China Guangzhou. The supplier is responsible for all transportation, handling, and insurance costs until the goods are received and signed for by the Veterinarian clinic's designated receiving officer.
Payment shall be made via bank transfer within thirty (30) calendar days from the date of confirmed receipt and acceptance of all goods. The Purchase Order number PO-GZ-2025-0417 must be referenced on all invoices and remittance advices.
The supplier warrants that all veterinary equipment and pharmaceuticals are new, unused, and free from defects. A minimum warranty period of twenty-four (24) months applies to all capital equipment. Consumable items carry a twelve (12) month shelf-life guarantee from the date of delivery.
In the event of non-conforming goods, the Veterinarian clinic reserves the right to reject the shipment, request immediate replacement, or seek a full refund. The supplier shall bear all costs associated with the return of defective items to their facility.
This Purchase Order is governed by the Civil Code of the People's Republic of China. Any disputes arising from this order shall be resolved through the Guangzhou Arbitration Commission in China Guangzhou in accordance with its then-current rules.
The supplier acknowledges that the end-user is a registered Veterinarian clinic and that all veterinary pharmaceuticals and controlled substances listed herein shall be handled, stored, and dispensed in strict accordance with the Veterinary Drug Administration Regulations of the PRC.
Confidentiality: Both parties agree to maintain the confidentiality of pricing, business terms, and proprietary information exchanged under this Purchase Order for a period of three (3) years from the date of issue.
This document is valid for acceptance within fourteen (14) calendar days from the date of issue. After this period, the Purchase Order shall be considered void unless renewed in writing by the Veterinarian clinic's procurement department.
