- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, specifically the Civil Code of the PRC and the Veterinary Drug Administration Regulations applicable in China Shanghai.
- Delivery: All items listed in this Purchase Order shall be delivered to the Veterinarian clinic premises located in China Shanghai at the address specified in Section 2. Delivery shall be completed no later than July 1, 2025. The Seller bears all transportation and insurance costs within the China Shanghai metropolitan area.
- Quality Assurance: All veterinary equipment and supplies must comply with the National Medical Products Administration (NMPA) of China and the China Shanghai Municipal Commission of Health and Wellness standards. The Veterinarian receiving party reserves the right to reject any item that does not meet the specified quality benchmarks for use in a China Shanghai veterinary practice.
- Payment: Payment of the full Purchase Order amount of CNY 2,722,900.00 shall be made via bank transfer to the Seller's designated account within thirty (30) calendar days of confirmed receipt and acceptance of all items by the Veterinarian procurement team in China Shanghai. A 13% Value Added Tax (VAT) invoice (fapiao) must accompany the payment request.
- Warranty: The Seller guarantees a minimum two-year warranty on all veterinary diagnostic and surgical equipment. The Veterinarian in China Shanghai shall be entitled to free repair or replacement of any defective component within the warranty period. Consumable items (vaccines, fluid pumps, emergency kits) carry a six-month warranty.
- Regulatory Compliance: The Seller warrants that all veterinary pharmaceuticals, vaccines, and medical devices included in this Purchase Order hold valid registration and import permits for use in China Shanghai. The Veterinarian buyer shall not be held liable for any regulatory non-compliance originating from the Seller's supply chain.
- Intellectual Property: The Veterinarian Electronic Health Record Software License (Item 09) is granted exclusively to the purchasing Veterinarian clinic group in China Shanghai. No sub-licensing or data transfer outside the China Shanghai jurisdiction is permitted without written consent.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be resolved through good-faith negotiation between the Veterinarian buyer and the Seller. If unresolved within thirty days, the matter shall be submitted to the Shanghai International Arbitration Center (SHIAC) in China Shanghai for binding arbitration under its rules.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in China Shanghai, or national public health emergencies affecting veterinary operations.
- Confidentiality: Both the Veterinarian purchasing entity and the Seller agree to maintain strict confidentiality regarding pricing, proprietary veterinary protocols, and client data associated with this Purchase Order. This obligation survives termination for a period of five years.
By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order for Veterinarian procurement in China Shanghai. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
