TERMS AND CONDITIONS

Scope of Purchase: This Purchase Order is issued by Clínica Veterinaria Los Andes S.A.S., a registered veterinary practice operating in Medellín, Antioquia, Colombia, for the procurement of veterinary medications, diagnostic equipment, surgical supplies, and consumables necessary for the continued operation of our animal health services.
Regulatory Compliance: All veterinary medications and biological products listed herein must comply with the regulations established by the Colombian Ministry of Agriculture and Rural Development (Ministerio de Agricultura y Desarrollo Rural) and the Instituto Nacional de Vigilancia de Medicamentos y Alimentos (INVIMA). The supplier warrants that all products carry valid registration numbers and are approved for veterinary use in Colombia.
Delivery: The supplier shall deliver all items to the veterinary clinic located in the El Poblado neighborhood of Medellín, Antioquia, within the timeframe specified above. Delivery must be made between 8:00 AM and 4:00 PM on business days. The supplier is responsible for all transportation costs within the Medellín metropolitan area.
Quality Assurance: All pharmaceutical products must be within their expiration date (minimum 18 months remaining at time of delivery). Equipment must be new, unused, and accompanied by manufacturer warranties of no less than two (2) years. The veterinarian in charge, Dr. Carolina Restrepo, reserves the right to inspect and reject any items that do not meet the specifications outlined in this Purchase Order.
Payment: Payment shall be made via bank transfer (transferencia electrónica) to the supplier's designated account in Colombian Pesos (COP) within thirty (30) calendar days from the date of the official invoice (factura electrónica) issued in accordance with the DIAN electronic invoicing regulations of Colombia.
Warranty and Returns: The supplier guarantees that all goods are free from defects in materials and workmanship. Any defective or non-conforming items must be reported within fifteen (15) days of delivery. The supplier shall replace or refund defective items at no additional cost to the veterinary clinic.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Antioquia region.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this document shall be resolved in the competent commercial courts of Medellín, Antioquia.
Confidentiality: Both parties agree to maintain confidentiality regarding pricing, business terms, and proprietary information exchanged in connection with this Purchase Order.
