This Purchase Order ensures the uninterrupted supply of critical materials necessary for the Veterinarian staff to deliver high-quality care in accordance with the standards set by the Ministry of Agriculture and Livestock of the DR Congo.

All goods specified in this Purchase Order shall be delivered to the premises of Clinique Vétérinaire du Congo Kinshasa located at 142 Avenue de la Paix, Gombe, Kinshasa, DR Congo. The Supplier is responsible for all transportation, insurance, and risk of loss until the items are received and inspected by the designated Veterinarian representative at the Buyer's facility. Delivery must be completed no later than 28 June 2025. The professional Veterinarian continuing education workshop (Item 09) shall be conducted at the CVCK training hall in Kinshasa on 26–27 June 2025, and the Supplier shall provide all instructional materials, certified instructors, and refreshments for the twelve (12) Veterinarian staff members attending.

  1. Acceptance: This Purchase Order becomes binding upon written acceptance by the Supplier. The Supplier shall confirm acceptance in writing within five (5) business days of receipt of this document.
  2. Quality Assurance: All pharmaceuticals and medical supplies must comply with the regulations of the Agence Nationale de Contrôle de la Qualité (ANAC) of the DR Congo. The Veterinarian in charge at CVCK reserves the right to reject any item that does not meet the specified standards or that is past its expiration date.
  3. Payment: Payment of the full amount of 92,560,000 CDF shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of the date of the final invoice, subject to satisfactory delivery and inspection of all items listed in this Purchase Order.
  4. Warranty: All equipment items (Items 01, 02, 08, 10) carry a minimum warranty of twelve (12) months from the date of delivery. The Supplier shall repair or replace any defective equipment at no additional cost to the Buyer.
  5. Compliance: The Supplier warrants that all goods and services provided under this Purchase Order comply with the laws of the Democratic Republic of Congo, including but not limited to the veterinary practice regulations, import/export controls, and tax obligations applicable in Kinshasa.
  6. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be submitted to the competent commercial court in Kinshasa, DR Congo.
  7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, civil unrest, government sanctions, or epidemics affecting the Kinshasa region.

This Purchase Order is authorized and issued by the undersigned on behalf of Clinique Vétérinaire du Congo Kinshasa. The Supplier's acceptance confirms agreement to all terms, conditions, quantities, and pricing set forth herein.

This Purchase Order is issued in the context of the ongoing expansion of veterinary services in Kinshasa, DR Congo. The Veterinarian team at CVCK is committed to improving animal health outcomes across the city and surrounding rural districts. All transactions under this document are subject to the commercial code of the Democratic Republic of Congo. A copy of this Purchase Order shall be retained in the official records of both parties for a minimum period of five (5) years.
