Terms & Conditions of Purchase
- Payment Terms: 50% advance payment via bank transfer to the supplier's account at Commercial International Bank (CIB), Cairo branch, within 5 business days of PO acceptance. The remaining 50% shall be settled within 30 days of confirmed delivery and inspection at the veterinary clinic premises in Dokki, Cairo.
- Delivery: All items must be delivered to the Nile Delta Veterinary Care Center, 42 El-Mohandessin Street, Dokki, Cairo, Egypt. The supplier is responsible for cold-chain maintenance (2–8°C) for all vaccines and temperature-sensitive pharmaceuticals during transit within Egypt.
- Quality & Compliance: All veterinary pharmaceuticals, vaccines, and diagnostic kits must bear valid Egyptian Veterinary Drug Administration (EVDA) registration numbers and import permits. The supplier warrants that no expired or substandard products will be included in this shipment. The lead veterinarian, Dr. Amira Hassan El-Sayed, reserves the right to reject any lot that fails visual or batch-number verification upon arrival.
- Warranty: Diagnostic equipment (Item 6) carries a minimum 24-month manufacturer warranty covering parts and labor, serviced by an authorized GE Healthcare technician in Cairo. Consumables and pharmaceuticals are non-returnable once opened but must be within 12 months of their expiry date at the time of delivery.
- Penalties for Late Delivery: A penalty of 0.5% of the affected line-item value per calendar day of delay shall be deducted from the final invoice, capped at 10% of that line item. Delays exceeding 15 days beyond the stated delivery window entitle the veterinary clinic to cancel the affected line items without penalty.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, including the Egyptian Commercial Code and the Egyptian Veterinary Practice Act. Any disputes shall be resolved through the competent commercial courts in Cairo.
- Confidentiality: Both parties agree to maintain confidentiality regarding pricing, patient-related diagnostic data, and proprietary veterinary treatment protocols referenced in any ancillary documentation attached to this order.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government import restrictions, port closures at Alexandria or Sokhna, or public health emergencies declared by the Egyptian Ministry of Health.
