Terms and Conditions of This Purchase Order

Acceptance: The supplier, EthioVet Medical Supplies & Pharmaceuticals S.C., shall confirm acceptance of this Purchase Order in writing within five (5) business days of the issue date. Failure to respond within this period shall be construed as acceptance under Ethiopian commercial law.
Delivery: All items shall be delivered to the Veterinarian clinic premises located at Bole Road, Woreda 03, Ethiopia Addis Ababa, no later than 30 June 2025. Delivery shall be made between 08:00 and 16:00 EAT (East Africa Time) on any business day.
Quality Assurance: All pharmaceutical and vaccine items must carry valid EFDA registration numbers and must be within their stated shelf life (minimum 12 months remaining at the time of delivery). The Veterinarian in charge shall inspect all goods upon receipt and issue a written acceptance or rejection notice within 48 hours.
Payment: Payment of the full amount of 1,560,285.00 ETB (One Million Five Hundred Sixty Thousand Two Hundred Eighty-Five Ethiopian Birr) shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of confirmed delivery and acceptance. The buyer's bank is Commercial Bank of Ethiopia, Addis Ababa Branch.
Warranty: All diagnostic equipment (items 3 and 4) shall carry a minimum twelve-month manufacturer's warranty. The supplier shall coordinate any warranty claims with the original manufacturer on behalf of the Veterinarian practice.
Regulatory Compliance: The supplier warrants that all imported pharmaceuticals, vaccines, and medical devices comply with the Ethiopian Food and Drug Authority (EFDA) regulations, the Ministry of Agriculture's veterinary drug control directives, and all applicable import licensing requirements for Ethiopia Addis Ababa.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or disruptions to the Addis Ababa supply chain, provided that written notice is given within 72 hours of the event.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any disputes arising herefrom shall be resolved through the competent courts of Ethiopia Addis Ababa.
Confidentiality: Both parties agree to maintain the confidentiality of pricing, quantities, and business terms contained in this document. This Purchase Order shall not be disclosed to third parties without mutual written consent.
Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both the Veterinarian institution and the supplier. Verbal agreements shall hold no legal force.
