  1. This Purchase Order is governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for any disputes arising from this Purchase Order shall be Berlin, Germany, in accordance with § 38 ZPO.
  2. All veterinary equipment and medical supplies delivered under this Purchase Order must comply with the German Veterinary Medical Devices Act (Medizinproduktegesetz – MPG), the German Animal Welfare Act (Tierschutzgesetz – TierSchG), and the regulations of the Tierärztekammer Berlin (Berlin Chamber of Veterinary Surgeons).
  3. The supplier warrants that all pharmaceutical products and veterinary medications included in this Purchase Order are registered with the Bundesinstitut für Arzneimittel und Medizinprodukte (BfArM), headquartered in Bonn but with a regional office in Berlin, Germany, and carry valid EU marketing authorizations.
  4. The supplier shall provide full CE marking documentation, German-language user manuals, and safety data sheets (Sicherheitsdatenblätter) for all items listed in this Purchase Order prior to delivery at the Berlin practice.
  5. A warranty period of 24 months applies to all capital equipment (X-Ray system, Ultrasound unit, Autoclaves, Examination tables, and Refrigerated Storage Unit). The warranty covers parts and labor for repairs performed at the veterinary practice location in Berlin, Germany, or at the supplier's authorized service center.
  6. The supplier shall not subcontract any part of the delivery or installation without prior written consent from the purchasing veterinary practice.   7. Any changes to the scope, quantity, or specifications of this Purchase Order must be documented in a written amendment signed by both parties. Verbal agreements are not binding under this Purchase Order.

The supplier acknowledges that the purchasing entity is a licensed veterinary practice operating under the supervision of the Tierärztekammer Berlin and that all equipment must support the veterinarian's professional obligations under the Tierärzteordnung (TierÄrzteO) and the Berufsordnung der Tierärztekammer Berlin.
  9. Confidentiality: Both parties agree to maintain strict confidentiality regarding patient data, practice operations, and commercial terms in accordance with the German Federal Data Protection Act (Bundesdatenschutzgesetz – BDSG) and the EU General Data Protection Regulation (GDPR/DSGVO).
  10. This Purchase Order becomes effective upon written confirmation by both parties. It is valid for a period of 90 days from the date of issue. If not confirmed within this period, the Purchase Order shall lapse automatically.
