TERMS AND CONDITIONS OF THIS PURCHASE ORDER- Delivery Location: All items under this Purchase Order shall be delivered to the Dr. Amir Hosseini Veterinary Clinic at 142 Valiasr Street, Enghelab Square, Tehran, Iran. The vendor is responsible for all transportation costs within the Tehran metropolitan area.
- Delivery Timeline: The vendor must complete full delivery of all items specified in this Purchase Order no later than 30 Farvardin 1404 (March 20, 2025). Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per day of delay.
- Payment Terms: Payment shall be made in two installments: 40% (552,812,200 IRR) upon signing and acceptance of this Purchase Order, and 60% (829,218,300 IRR) within 15 business days following successful delivery, inspection, and installation of all equipment. Payment shall be processed via bank transfer to the vendor's account at Bank Melli, Tehran branch.
- Quality Assurance: All pharmaceutical products must bear valid registration numbers from the Iran Food and Drug Administration (IFDA) and the Iran Veterinary Organization. All diagnostic equipment must carry CE or equivalent international certification and a minimum two-year warranty valid in Iran Tehran.
- Installation and Training: The vendor shall provide on-site installation of the X-Ray machine, Ultrasound scanner, and Anesthesia machine at the veterinary clinic in Tehran. Additionally, the vendor shall provide a minimum of four (4) hours of hands-on training for the Veterinarian and two (2) clinic assistants on the proper operation and maintenance of all installed equipment.
- Regulatory Compliance: The vendor warrants that all items comply with the import and distribution regulations of the Islamic Republic of Iran, including but not limited to the Veterinary Medicine Control Act and Tehran Municipality health and safety codes. All necessary import permits and customs documentation for items sourced internationally shall be the sole responsibility of the vendor.
- Warranty: All equipment carries a minimum two-year manufacturer's warranty. Pharmaceutical products must have a remaining shelf life of no less than eighteen (18) months at the time of delivery. The Veterinarian reserves the right to reject any item that does not meet these specifications.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation in Tehran, Iran. In the event of unresolved disagreement, the matter shall be referred to the Tehran Commercial Arbitration Court in accordance with Iranian commercial law.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Iran Tehran.
- Validity: This Purchase Order is valid for thirty (30) calendar days from the date of issue. If the vendor does not confirm acceptance within this period, the Purchase Order shall be considered void.
