- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Jerusalem, Israel.
- Delivery: All items listed in this Purchase Order must be delivered to the Jerusalem Veterinary Medical Center at 42 King David Street, Jerusalem 97100, Israel. Delivery must be completed no later than 30 June 2025. The vendor is responsible for all transportation costs within the Israel Jerusalem metropolitan area and must ensure compliance with the Israeli Ministry of Health regulations regarding the transport of veterinary pharmaceuticals and medical equipment.
- Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice (Fatura) issued in accordance with Israeli tax law. Payment will be processed via bank transfer to the vendor's designated account in Israel. The total amount due under this Purchase Order is ILS 566,990.00 (Five Hundred Sixty-Six Thousand Nine Hundred Ninety NIS, including 18% VAT).
- Quality Assurance: All veterinary equipment and pharmaceutical products supplied under this Purchase Order must meet the standards set by the Israeli Standards Institute (SII) and the Israeli Veterinary Services Directorate. The vendor warrants that all items are new, unused, and free from defects. Veterinary pharmaceuticals must carry valid Israeli Ministry of Health import permits and be within their full shelf life (minimum 12 months remaining at delivery).
- Warranty: The vendor shall provide a minimum 24-month warranty on all capital equipment (Items 1–4) and a 12-month warranty on all other items. Warranty service must be available within the Israel Jerusalem region with a maximum response time of 48 hours.
- Professional Services: The continuing education workshop (Item 10) shall be conducted at a certified venue in Jerusalem, Israel, and must be approved by the Israeli Veterinary Association (IVA). The annual calibration contract (Item 11) shall be performed by technicians licensed by the Israeli Ministry of Health for medical equipment maintenance.
- Compliance: The vendor confirms that all products and services under this Purchase Order comply with the Israeli Animal Welfare Law (5731-1971), the Israeli Veterinary Practice Regulations, and all applicable municipal bylaws of the City of Jerusalem. No animal testing or animal-derived materials in violation of Israeli law shall be included in any supplied product.
- Cancellation & Modification: This Purchase Order may be modified only by mutual written agreement between the Jerusalem Veterinary Medical Center and the vendor. Cancellation of any line item after the order has been placed will incur a 15% restocking fee unless the item is not yet in production.
- Confidentiality: Both parties agree to maintain the confidentiality of all proprietary information exchanged in connection with this Purchase Order, in accordance with the Israeli Privacy Protection Law, 5741-1981.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to acts of God, government actions, or civil unrest affecting the Jerusalem area, provided that the affected party notifies the other within 5 business days.
