- 1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising from this Veterinarian supply agreement shall be subject to the exclusive jurisdiction of the competent courts in Tel Aviv, Israel.
- 2. Delivery: All items listed in this Purchase Order must be delivered to the Tel Aviv Advanced Veterinarian & Animal Care Center at 142 Dizengoff Street, Tel Aviv-Yafo, Israel, no later than 28 June 2025. Delivery shall be made between 08:00 and 16:00 local time, Monday through Friday.
- 3. Payment Terms: Payment shall be made within 30 days of receipt of a valid invoice and confirmed delivery of all line items. Payment shall be processed via bank transfer to the supplier's designated Israeli bank account. All amounts are denominated in Israeli New Shekels (ILS).
- 4. Quality Assurance: All veterinary pharmaceuticals, medications, and medical devices supplied under this Purchase Order must comply with the regulations set forth by the Israel Veterinary Authority (Rashut HaVet) and the Ministry of Health, State of Israel. The Veterinarian in charge, Dr. Miriam Levi, reserves the right to inspect and reject any items that do not meet the specified standards or lack proper Israeli regulatory approval.
- 5. Warranty: The supplier warrants that all equipment and devices delivered under this Purchase Order are new, unused, and free from defects in materials and workmanship. A minimum warranty period of 24 months shall apply to all capital equipment. The supplier shall provide on-site repair or replacement within 7 business days of a valid warranty claim filed by the Veterinarian clinic in Israel Tel Aviv.
- 6. Regulatory Compliance: The supplier confirms that all veterinary pharmaceuticals and controlled substances included in this Purchase Order are fully licensed for use in Israel. Import permits, where applicable, shall be the responsibility of the supplier. All items must bear appropriate Hebrew and English labeling in accordance with Israeli consumer protection and veterinary regulations.
- 7. Cancellation & Modification: This Purchase Order may be modified or cancelled only by mutual written agreement between the authorized Veterinarian representative of the buyer and the supplier. Cancellation of individual line items may be requested up to 14 days prior to the scheduled delivery date without penalty.
- 8. Insurance & Risk: Risk of loss or damage to the goods shall transfer from the supplier to the buyer upon confirmed delivery and signature at the Tel Aviv facility. The supplier shall maintain adequate cargo insurance for all items in transit within Israel.
- 9. Confidentiality: Both parties agree to maintain the confidentiality of all pricing, business terms, and proprietary information exchanged in connection with this Purchase Order for a period of three (3) years from the date of issue.
- 10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in Israel Tel Aviv.
