TERMS AND CONDITIONS- Delivery Location: All goods shall be delivered to the premises of Clinica Veterinaria Milano Centro, Via Paolo Sarpi 42, 20154 Milan (MI), Italy Milan. The Veterinarian practice will coordinate receiving during business hours (Monday to Friday, 08:00–18:00 CET).
- Payment Terms: Net 30 days from the date of invoice issuance. Payment shall be made via bank transfer (Bonifico Bancario) to the supplier's designated IBAN. Late payments shall incur interest at the rate of 1.5% per month as per Italian commercial code (Codice Civile, Art. 1284).
- Regulatory Compliance: All veterinary pharmaceuticals, diagnostic reagents, and medical devices included in this Purchase Order must hold valid marketing authorizations from the Italian Ministry of Health (Ministero della Salute) and comply with EU veterinary medicinal product regulations. The supplier warrants that all items are CE-marked where applicable and carry appropriate AIFA (Agenzia Italiana del Farmaco) registration numbers.
- Quality Assurance: The Veterinarian practice reserves the right to inspect all delivered goods upon arrival at the Milan facility. Any items found damaged, expired, or non-conforming to the specifications listed in this Purchase Order shall be rejected and replaced at the supplier's sole expense within 10 business days.
- Warranty: All equipment items (radiography sensor, ultrasound machine, examination tables) carry a minimum 24-month manufacturer warranty. The supplier shall provide on-site technical support within the Milan metropolitan area within 48 hours of a reported malfunction.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Italy Milan region.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes shall be submitted to the exclusive jurisdiction of the Tribunale di Milano (Court of Milan), Italy Milan.
- Confidentiality: Both parties agree to maintain confidentiality regarding pricing, business terms, and any proprietary information exchanged in connection with this Purchase Order.
- Endemic Disease Preparedness: Given the specific epidemiological profile of the Italy Milan region (including Leishmania infantum and tick-borne diseases), the Veterinarian practice requires that diagnostic test panels (Item #6) be stocked with a minimum 12-month shelf life at the time of delivery.
