1. Scope: This Purchase Order is issued by Clinica Veterinaria del Vesuvio S.r.l., a licensed Veterinarian practice operating in Naples, Italy, for the procurement of veterinary pharmaceuticals, diagnostic equipment, surgical instruments, and consumable supplies necessary for the ongoing clinical care of companion animals in the Campania region.
2. Regulatory Compliance: All veterinary medicinal products listed herein must comply with Regulation (EC) No 726/2004 and Italian Legislative Decree 193/2006. The supplier warrants that all pharmaceutical items carry valid AIFA (Agenzia Italiana del Farmaco) authorization for veterinary use in Italy. 5. 6. Any discrepancies must be reported in writing to the supplier within the same period.
7. Warranty: All equipment items (Items 3, 4, 8) carry a minimum manufacturer's warranty of twenty-four (24) months from the date of installation in Naples. The supplier shall coordinate any warranty repairs or replacements directly with the manufacturer at no additional cost to the Veterinarian practice.
8. Installation: The portable X-ray imaging system (Item 4) includes on-site installation, calibration, and operator training for up to three (3) veterinary technicians at the Naples clinic. Installation must be completed within ten (10) business days of delivery.
9. Confidentiality & Data Protection: Both parties agree to comply with the EU General Data Protection Regulation (GDPR) and Italian Legislative Decree 196/2003 (Codice Privacy) in the handling of any personal data exchanged in connection with this Purchase Order.
10. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this document shall be subject to the exclusive jurisdiction of the competent courts of Naples (Napoli), Italy.
11. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, epidemics affecting animal or human health, or government-mandated closures, provided that the affected party notifies the other within forty-eight (48) hours.
