TERMS AND CONDITIONS OF THIS PURCHASE ORDER
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic, specifically the Italian Civil Code (Codice Civile) and applicable regulations issued by the Ministry of Health (Ministero della Salute) regarding veterinary equipment and medical device procurement in Italy.
- Delivery: All items listed in this Purchase Order shall be delivered to the Veterinarian practice premises located at Via dei Coronari 42, 00186 Rome, Italy. Delivery shall be completed no later than 28 June 2025. The Seller is responsible for all transportation, handling, and installation within the city of Rome, Italy, including access through the historic center (Centro Storico) where applicable.
- Quality and Compliance: All veterinary equipment and supplies must bear the CE marking and comply with the European Medical Devices Regulation (EU) 2017/745. The Seller warrants that all items are new, unused, and fit for veterinary clinical use in a licensed Veterinarian practice operating in Rome, Italy.
- Payment: Payment of the full Purchase Order amount of EUR 98,913.20 shall be made via bank transfer (bonifico bancario) to the Seller's designated Italian bank account within thirty (30) calendar days from the date of receipt of a valid Italian electronic invoice (fattura elettronica) transmitted through the Sistema di Interscambio (SdI) as required by Italian tax law.
- Warranty: The Seller provides a minimum two-year warranty on all capital equipment (items 1 through 8 and 10) and a twelve-month warranty on consumables (item 9). Warranty service shall be provided at the Veterinarian clinic location in Rome, Italy, at no additional cost to the Buyer.
- Installation and Training: The Seller shall provide on-site installation of all equipment at the Rome veterinary facility and shall conduct a minimum of eight (8) hours of hands-on training for the veterinary staff, including the lead Veterinarian Dr. Marco Esposito and two (2) veterinary technicians.
- Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved by the competent court of Rome, Italy (Tribunale di Roma), in accordance with Italian procedural law. The parties agree to attempt mediation before initiating litigation.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting the city of Rome, Italy.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, veterinary patient data, and operational information exchanged in connection with this Purchase Order, in compliance with the Italian Data Protection Code (D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR).
- Validity: This Purchase Order is valid for acceptance within ten (10) business days from the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void.
