- Delivery: All items under this Purchase Order shall be delivered to the Veterinarian clinic premises located in Chuo-ku, Japan Osaka within 21 business days from the date of this Purchase Order. Delivery shall be made DDP (Delivered Duty Paid) to the specified Japan Osaka address.
- Quality Assurance: All veterinary equipment and pharmaceuticals supplied must comply with the Pharmaceutical and Medical Device Act (PMD Act) of Japan and meet the standards set by the Japan Osaka Prefectural Board of Veterinary Medicine. The Veterinarian buyer reserves the right to inspect and reject any items that do not meet the specified quality parameters.
- Warranty: The supplier warrants that all equipment delivered under this Purchase Order shall be free from defects in materials and workmanship for a period of 24 months from the date of delivery in Japan Osaka. The Veterinarian practice shall notify the supplier in writing within 14 days of discovering any defect.
- Payment: Payment of the total amount of JPY 19,849,500 shall be made via bank transfer to the supplier's designated account within 30 days of receipt of a valid tax invoice. Late payments shall incur interest at the rate of 1.5% per month as stipulated under Japanese commercial law applicable in Japan Osaka.
- Regulatory Compliance: The supplier acknowledges that all veterinary pharmaceuticals and controlled substances included in this Purchase Order require proper import and distribution licenses under Japanese law. The supplier shall provide all necessary documentation, including certificates of analysis, to the Veterinarian buyer prior to delivery in Japan Osaka.
- Intellectual Property: All software licenses provided under this Purchase Order are granted exclusively to the Veterinarian practice in Japan Osaka and may not be transferred, sublicensed, or used by any third party without written consent.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes and typhoons common to the Japan Osaka region), government actions, or other events beyond reasonable control.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with jurisdiction vested in the Osaka District Court, Japan Osaka.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all patient records, veterinary treatment protocols, and business information exchanged in connection with this Purchase Order in Japan Osaka.
