- This Purchase Order is issued by the Nairobi Veterinary Clinic & Animal Health Centre, a registered veterinary practice operating in Kenya Nairobi, and constitutes a binding procurement request to the supplier named above.
- All veterinary pharmaceuticals and medical supplies listed in this Purchase Order must comply with the standards set by the Pharmacy and Poisons Board of Kenya and the Directorate of Veterinary Services, Kenya Nairobi regional office.
- The Lead Veterinarian, Dr. Amina Wanjiru, shall inspect all delivered goods upon arrival at the clinic premises in Kenya Nairobi. Any items found to be expired, damaged, or non-conforming to the specifications stated herein shall be rejected at the supplier's expense.
- Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of goods. Payment shall be processed via bank transfer to the supplier's designated account as registered with the Kenya Revenue Authority.
- The supplier is required to deliver all items to the clinic address in Kenya Nairobi no later than the Required Delivery Date stated above. Late delivery beyond five (5) business days entitles the clinic to cancel this Purchase Order in whole or in part without penalty.
- All veterinary equipment, including the portable X-ray unit and examination tables, must be installed, calibrated, and certified by a qualified technician before final acceptance. The Veterinarian in charge will sign the installation completion certificate.
- This Purchase Order is governed by the laws of the Republic of Kenya. Any disputes arising from this procurement shall be resolved through arbitration in Kenya Nairobi in accordance with the Arbitration Act, Cap 15 of the Laws of Kenya.
- The supplier warrants that all pharmaceutical products are sourced from licensed manufacturers, carry valid batch numbers, and have a minimum shelf life of eighteen (18) months from the date of delivery to Kenya Nairobi.
- Neither party shall be liable for delays caused by force majeure events, including but not limited to natural disasters, government-imposed restrictions, or public health emergencies affecting operations in Kenya Nairobi.
- This Purchase Order may only be amended in writing, signed and stamped by both the authorised representative of the Nairobi Veterinary Clinic and the authorised representative of the supplier.
