- This Purchase Order constitutes a binding agreement between the Purchaser and the Supplier for the procurement of veterinary goods and services as described herein. All transactions are governed by the laws of the State of Kuwait.
- All veterinary equipment and supplies must comply with the quality and safety standards mandated by the Kuwait Ministry of Health and the Kuwait Veterinary Association. The Veterinarian team at Al-Nakheel Veterinary Clinic reserves the right to inspect and reject any items that do not meet the specified standards upon delivery in Kuwait City.
- Delivery of all physical goods shall be made to the clinic premises at 14 Salmiya Road, Kuwait City, Kuwait, no later than 30 June 2025. The Supplier bears all shipping, handling, and insurance costs until the goods are received and signed for by the designated Veterinarian representative.
- Payment shall be made via bank transfer to the Supplier's designated account within thirty (30) calendar days of the date of the valid invoice. Late payments shall incur a penalty of 1.5% per month as per Kuwaiti commercial law.
- The Supplier warrants that all veterinary pharmaceuticals, vaccines, and medical devices listed in this Purchase Order are genuine, unexpired, and fully approved for use by licensed Veterinarian practitioners in Kuwait.
- Warranty: All capital equipment (Items 01, 02, 05, 07) carries a minimum two-year manufacturer's warranty. The Supplier shall coordinate any warranty claims with the original manufacturer on behalf of the Veterinarian clinic.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, patient records, and business data exchanged in connection with this Purchase Order.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty days, the matter shall be submitted to the competent courts in Kuwait City, Kuwait.
- This Purchase Order may not be modified or amended except in writing, signed and stamped by authorized representatives of both parties.
- The Veterinarian clinic in Kuwait City shall maintain all necessary licenses and permits to operate, and the Supplier shall provide all required documentation for customs clearance and regulatory compliance within Kuwait.
