- 5.1 This Purchase Order constitutes a binding agreement between the Veterinarian practice (Buyer) and Pacific Veterinary Supplies Ltd. (Supplier) upon written acceptance by both parties.
- 5.2 All goods must comply with the New Zealand Food Safety Act 2015, the Medicines Act 1981, and the relevant veterinary pharmaceutical regulations administered by the Ministry for Primary Industries (MPI) in New Zealand Wellington and the broader region.
- 5.3 The Supplier warrants that all veterinary pharmaceuticals and biological products supplied are within their full shelf life (minimum 12 months remaining) and have been stored and transported in accordance with manufacturer specifications.
- 5.4 Payment shall be made via direct bank transfer to the Supplier's nominated account within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate of 1.5% per month as permitted under New Zealand commercial law.
- 5.5 The Veterinarian practice reserves the right to inspect all delivered goods within five (5) business days of receipt. Any items found to be damaged, incorrect, or non-conforming to the specifications outlined in this Purchase Order must be reported in writing to the Supplier, who shall replace or refund the affected items within ten (10) business days at no additional cost to the Buyer.
- 5.6 Title and risk of loss pass to the Buyer upon delivery and signed acceptance at the New Zealand Wellington delivery address. The Supplier is responsible for all freight, insurance, and transit costs.
- 5.7 This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved through the District Court of Wellington, New Zealand.
- 5.8 The Supplier acknowledges that the Buyer is a registered Veterinarian practice and that all supplied items are intended exclusively for professional veterinary use in the care and treatment of animals within New Zealand Wellington and the surrounding regions.
- 5.9 Neither party may assign or transfer this Purchase Order without the prior written consent of the other party.
- 5.10 This Purchase Order, together with any attached schedules or specifications, represents the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.
