- This Purchase Order is governed by the laws of the Federal Republic of Nigeria and shall be interpreted in accordance with the Nigerian Contracts Act, Cap C23, LFN 2004.
- All veterinary pharmaceuticals and biological products must carry valid NAFDAC registration numbers and must be approved for use by a licensed Veterinarian in Nigeria Lagos. The supplier warrants that all items comply with the Veterinary Council of Nigeria (VCN) regulatory standards.
- Delivery of all items shall be made to the GreenPaw Veterinary Clinic premises at 12 Adeola Odeku Street, Victoria Island, Lagos, Nigeria, within fourteen (14) calendar days from the date of this Purchase Order. The supplier bears full responsibility for logistics within the Nigeria Lagos metropolitan area.
- Payment shall be made within thirty (30) days of receipt of a valid tax invoice and confirmed delivery. Payment shall be processed via bank transfer to the supplier's designated account in Nigerian Naira (NGN).
- The supplier guarantees that all equipment (X-Ray Machine, Ultrasound Scanner) shall be accompanied by a minimum two-year manufacturer's warranty and shall be calibrated by a certified Veterinarian or biomedical engineer prior to handover.
- Any rejected or non-conforming items must be replaced within seven (7) business days at no additional cost to the buying Veterinarian practice. Repeated non-compliance shall entitle the buyer to terminate this Purchase Order without penalty.
- The supplier shall maintain full insurance coverage for all goods in transit within Nigeria Lagos and shall indemnify the buyer against any loss, damage, or contamination of veterinary supplies during delivery.
- Confidentiality: Both parties agree that all proprietary information exchanged under this Purchase Order, including patient records, pricing structures, and clinical protocols of the Veterinarian practice, shall remain strictly confidential and shall not be disclosed to third parties without written consent.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of the items listed herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Veterinarian services and supplies in Nigeria Lagos. This document is executed in duplicate, with one copy retained by each party.
