- This Purchase Order is issued by Moscow Veterinary Medical Center "Zdorovye Zhivotnykh" for the procurement of veterinary equipment, pharmaceuticals, and professional services from VetSupply International LLC. All items listed herein are intended for use in licensed veterinary practice within the city of Moscow, Russia.
- All veterinary equipment and pharmaceutical products must comply with the Federal Law of the Russian Federation No. 497-FZ "On the Welfare of Animals" and the regulations of the Federal Service for Veterinary and Phytosanitary Surveillance (Rosselkhoznadzor). The supplier warrants that all products carry valid EAC (Eurasian Conformity) certification and, where applicable, registration with Roszdravnadzor.
- Delivery of all items shall be made to the specified address in Moscow, Russia, at the supplier's expense. The supplier is responsible for proper packaging, temperature-controlled transport (for vaccines and biologics), and customs clearance documentation where applicable. Delivery windows are as indicated in the line items table.
- Payment shall be made via bank transfer within thirty (30) calendar days from the date of the supplier's invoice, provided that all goods have been received and inspected, and all services have been satisfactorily completed. Late payment shall incur a penalty of 0.1% per calendar day in accordance with Article 317.1 of the Civil Code of the Russian Federation.
- The supplier shall provide a minimum twelve (12) month warranty on all veterinary equipment and a minimum six (6) month warranty on pharmaceutical products (or until the printed expiration date, whichever is shorter). Warranty claims shall be processed within fifteen (15) business days of written notification.
- The veterinary training service (Item 8) shall be conducted at the buyer's premises in Moscow, Russia, by certified veterinary professionals. The supplier shall provide all training materials in both Russian and English. Attendance records shall be submitted to the buyer within five (5) business days of completion.
- This Purchase Order is governed by the Civil Code of the Russian Federation and applicable federal legislation of the Russian Federation. Any disputes arising from this Purchase Order shall be resolved through negotiation, and failing that, by the Arbitration Court of the City of Moscow, Russia.
- The supplier shall maintain full insurance coverage for all veterinary products in transit within Russia Moscow and shall provide proof of such coverage upon request. In the event of damage or loss during delivery, the supplier shall replace the affected items at no additional cost to the buyer.
- Neither party may assign its rights or obligations under this Purchase Order without the prior written consent of the other party. This Purchase Order constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, and agreements.
- All communications regarding this Purchase Order shall be directed to the designated contacts listed above. Amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties.
