  1. Delivery: All items listed in this Purchase Order shall be delivered to the St. Petersburg Veterinary Medical Center facility located at 45 Liteyny Avenue, Saint Petersburg, Russia, no later than 30 July 2025. The Seller bears full responsibility for transportation, insurance, and risk of loss until goods are received and inspected by the Veterinarian procurement team at the designated location in Russia Saint Petersburg.
  2. Quality Assurance: All veterinary equipment and pharmaceutical products must meet the standards established by the Russian Federal Service for Veterinary and Phytosanitary Surveillance (Rosselkhoznadzor). The Veterinarian in charge at our facility in Saint Petersburg shall conduct a full inspection upon delivery. Any item found defective, expired, or non-compliant shall be rejected and replaced at the Seller's sole expense within 14 calendar days.
  3. Payment: Payment of the total amount of 17,970,000.00 RUB shall be made via bank transfer to the Seller's designated account within 30 calendar days of receipt of a valid invoice and confirmed delivery. The Buyer's banking details are on file with the Seller. Late payments shall incur a penalty of 0.1% per calendar day as per Russian Civil Code Article 395.
  4. Warranty: All equipment items carry a minimum 24-month manufacturer warranty. Pharmaceutical products must have a remaining shelf life of no less than 18 months at the time of delivery. The Veterinarian team in Russia Saint Petersburg shall be provided with full technical documentation, user manuals in Russian, and after-sales support contacts.
  5. Regulatory Compliance: The Seller warrants that all veterinary pharmaceuticals and controlled substances included in this Purchase Order are fully licensed for use in the Russian Federation and comply with all regulations of the city of Saint Petersburg. The Veterinarian practice is not liable for any regulatory penalties arising from non-compliant supplies.
  6. Training: The Seller shall provide on-site installation, calibration, and operational training for all equipment at the Veterinarian clinic in Saint Petersburg. Training sessions shall be conducted in Russian and shall cover all functions necessary for daily use by Veterinarian staff, nurses, and laboratory technicians.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Russia Saint Petersburg.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes shall be resolved through the Arbitration Court of the city of Saint Petersburg, Russia.
  9. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, pricing, and the operational details of the Veterinarian practice in Russia Saint Petersburg. No information shall be disclosed to third parties without written consent.
  10. Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or email communications shall not constitute valid amendments to this document.
