- Delivery: All items listed in this Purchase Order shall be delivered to the Veterinary Clinic premises located in Jeddah, Saudi Arabia, within thirty (30) calendar days from the date of this Purchase Order. The seller is responsible for all logistics, customs clearance, and local delivery within the Jeddah metropolitan area.
- Payment: Payment of the full amount of SAR 281,455.00 (Two Hundred and Eighty-One Thousand Four Hundred and Fifty-Five Saudi Riyals) shall be made via bank transfer to the seller's designated account within thirty (30) days of the date of this Purchase Order. Late payments shall incur a penalty of 1.5% per month as per Saudi commercial law.
- Quality Assurance: All veterinary equipment and supplies must comply with the standards set by the Saudi Food and Drug Authority (SFDA) and the Ministry of Environment, Water and Agriculture. The Veterinarian (buyer) reserves the right to inspect and reject any items that do not meet the specified quality, safety, or regulatory requirements upon delivery in Jeddah.
- Warranty: The seller guarantees a minimum of two (2) years warranty on all electronic and mechanical veterinary equipment. Consumable items such as vaccines, syringes, and IV fluids are subject to their respective shelf-life dates and must be delivered with a minimum of twelve (12) months remaining validity.
- Installation & Training: The seller shall provide on-site installation of the X-Ray machine, ultrasound scanner, and anesthesia machines at the Veterinary Clinic in Jeddah. Additionally, the seller shall provide a minimum of four (4) hours of hands-on training for the Veterinarian and clinic staff on the proper operation and maintenance of all delivered equipment.
- Regulatory Compliance: This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. All transactions are subject to the Saudi VAT regulations at the current rate of 15%. The seller must provide a valid Tax Invoice (Fatura) in Arabic and English upon delivery.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts in Jeddah, Saudi Arabia, or through arbitration in accordance with the Saudi Arbitration Center rules.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government regulations, or supply chain disruptions affecting the Jeddah region.
