Terms and Conditions
- This Purchase Order is issued by Clinique Vétérinaire de Dakar and is binding upon acceptance by the supplier. All goods and services shall be delivered to the veterinary clinic premises located in Dakar Plateau, Senegal Dakar, unless otherwise specified in writing.
- All veterinary pharmaceuticals, vaccines, and biological products must comply with the regulations of the Direction de l'Élevage et des Pêches Maritimes (DEPM) of Senegal and must carry valid import permits and batch certificates of analysis.
- The Veterinarian in charge, Dr. Awa Ndiaye, DVM, shall inspect all deliveries upon arrival. Any items found to be expired, damaged, or non-conforming to the specifications stated in this Purchase Order shall be rejected and replaced at the supplier's expense within five (5) business days.
- Cold-chain integrity must be maintained for all vaccine shipments. The supplier shall provide temperature-logging documentation for each delivery batch. Failure to maintain the required 2 °C to 8 °C range will result in immediate rejection of the affected lot.
- Payment shall be made via bank transfer to the supplier's designated account in Senegal within thirty (30) calendar days of receipt of a valid tax invoice, subject to satisfactory delivery and inspection by the Lead Veterinarian.
- The supplier warrants that all veterinary equipment and consumables are new, unused, and free from defects. A minimum warranty period of twelve (12) months applies to all capital equipment (Items 07 and 08).
- This Purchase Order is governed by the laws of the Republic of Senegal. Any disputes arising from this order shall be resolved through the commercial courts of Dakar, Senegal Dakar.
- The supplier shall maintain full insurance coverage for all goods in transit within Senegal. Risk of loss transfers to the buyer only upon written acceptance by the authorized Veterinarian at the delivery site.
- Any modifications to this Purchase Order must be made in writing and signed by both the Lead Veterinarian and the authorized representative of the supplier. Verbal agreements are not valid.
- The supplier acknowledges that the purchased veterinary supplies are intended for the care of animals in the Senegal Dakar region and shall not be resold or diverted without prior written consent from Clinique Vétérinaire de Dakar.
