All items listed in this Purchase Order shall be delivered to the Zürich Tierklinik AG facility located at Bahnhofstrasse 142, 8001 Switzerland Zurich. The supplier is responsible for arranging freight, insurance, and customs clearance where applicable. Delivery must be completed no later than 28 June 2025. The supplier shall provide a delivery note and packing list upon arrival. All veterinary equipment must comply with the Swiss Medical Device Ordinance (MedDevV) and be registered with the Swissmedic authority prior to installation. The Veterinarian team at the receiving clinic will conduct a joint inspection of all delivered goods within two business days of receipt.
- Payment: Full payment of CHF 101,910.59 shall be made within 30 calendar days of the invoice date via bank transfer to the supplier's designated account in Switzerland Zurich. Late payments shall incur interest at the statutory rate of 5% per annum as defined under Swiss Code of Obligations (OR Art. 104).
- Warranty: All veterinary equipment and instruments are covered by a minimum 24-month manufacturer's warranty from the date of acceptance. Pharmaceutical products must have a remaining shelf life of no less than 18 months at the time of delivery.
- Compliance: The supplier warrants that all products comply with applicable Swiss federal regulations, including the Veterinary Medicines Act (VetMedV), the Swiss Animal Welfare Act (Tierschutzgesetz), and all relevant Switzerland Zurich cantonal health directives. All medications must bear the Swissmedic authorization number.
- Quality Assurance: The Veterinarian in charge at the purchasing clinic reserves the right to reject any items that do not meet the specifications outlined in this Purchase Order. Rejected items must be replaced within 10 business days at the supplier's sole cost.
- Intellectual Property: All proprietary software included with the veterinary X-ray unit and anesthesia machines is licensed for use exclusively within the Switzerland Zurich clinic premises. No redistribution or transfer is permitted without written consent.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Switzerland Zurich.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Swiss Confederation. Any disputes shall be submitted to the competent courts of the Canton of Zurich, Switzerland Zurich.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding pricing, product specifications, and business terms contained in this Purchase Order. This obligation survives the termination of the commercial relationship for a period of five years.
This Purchase Order is hereby authorised and binding upon signature by the undersigned representatives of both parties. By signing, the supplier acknowledges acceptance of all terms, conditions, and specifications set forth in this document for the supply of veterinary goods and equipment to the Veterinarian practice in Switzerland Zurich.
