This Purchase Order is issued by Ankara Veterinary Care Center, a licensed Veterinarian practice operating in Turkey Ankara, and governs the procurement of all veterinary medical equipment, surgical instruments, and consumable supplies listed above. The following terms apply to this transaction:
- Payment Terms: 50% advance payment upon confirmation of this Purchase Order; 50% balance payment within 15 business days of successful delivery and inspection at the Ankara clinic premises. All payments shall be made in Turkish Lira (TRY) via bank transfer to the supplier's designated account.
- Delivery: The supplier shall deliver all items to the Ankara Veterinary Care Center located at Atatürk Bulvarı No. 214, Çankaya, Ankara, Turkey, no later than 28 June 2025. Delivery shall be made during business hours (09:00–17:00, Monday to Friday). All shipping and logistics costs are included in the unit prices stated in this Purchase Order.
- Quality Assurance: All veterinary equipment and supplies must comply with the Turkish Veterinary and Pharmaceutical Products Regulation (Veteriner ve Eczacılık Ürünleri Yönetmeliği) and carry valid CE marking or equivalent certification. The Veterinarian in charge, Dr. Elif Kaya, reserves the right to inspect and reject any items that do not meet the specified standards or arrive in damaged condition.
- Warranty: The supplier guarantees a minimum 24-month warranty on all electronic and mechanical veterinary equipment (X-Ray Machine, Anesthesia Machine, Centrifuge, Autoclave). Consumable items (gloves, IV sets, alcohol, scalpel blades) are covered under a 90-day defect replacement policy.
- Regulatory Compliance: The supplier confirms that all items listed in this Purchase Order are legally importable and distributable within Turkey Ankara and the Republic of Turkey. Any veterinary pharmaceuticals or controlled substances included must be accompanied by the appropriate Ministry of Agriculture and Forestry permits.
- Penalties: In the event of delayed delivery beyond the stipulated deadline, the supplier shall pay a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10% of the total value. Delays exceeding 15 business days entitle the Veterinarian clinic to cancel this Purchase Order without penalty and seek a full refund of any advance payment made.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this transaction shall be subject to the exclusive jurisdiction of the courts in Ankara, Turkey.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Turkey Ankara.
