4. Terms and Conditions of This Purchase Order

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and all applicable regulations of Abu Dhabi Municipality and the Abu Dhabi Agriculture and Food Safety Authority (ADAFSA).
Delivery: All items listed in this Purchase Order must be delivered to the Veterinary Clinic premises at Al Markhaya, Abu Dhabi, United Arab Emirates, no later than 28 June 2025. Delivery shall be made between 08:00 and 16:00 UAE Standard Time (GST, UTC+4).
Quality & Compliance: All veterinary pharmaceuticals, vaccines, and medical devices must comply with the regulatory standards set by ADAFSA and the Ministry of Climate Change and Environment (UAE). The supplier must provide certificates of analysis, batch numbers, and import permits for all regulated items. The Veterinarian in charge (Dr. Fatima Al Mansoori) reserves the right to reject any shipment that does not meet the specified quality parameters.
Payment: Payment of the full Purchase Order amount of AED 155,536.50 (inclusive of 5% VAT) shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days from the date of confirmed receipt and acceptance of all goods. Bank: Emirates NBD, Account: 002-456-789-001, IBAN: AE07024000000000456789012.
Warranty: All equipment items (Ultrasound Machine, Anesthesia Machine, Digital Otoscope) carry a minimum two-year manufacturer's warranty. The supplier shall coordinate any warranty claims on behalf of the Veterinary Clinic.
Storage & Handling: Temperature-sensitive veterinary products (insulin, vaccines) must be transported in validated cold-chain packaging maintaining 2°C to 8°C throughout transit within Abu Dhabi and the United Arab Emirates. A temperature log must accompany each cold-chain shipment.
Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Abu Dhabi Commercial Court in accordance with UAE federal law.
Validity: This Purchase Order is valid for acceptance within seven (7) calendar days from the date of issue. The supplier must confirm acceptance in writing via email to [email protected].
