TERMS AND CONDITIONS- Governing Jurisdiction: This Purchase Order is governed by the commercial laws of the United Arab Emirates, specifically the Federal Commercial Transactions Law and the Dubai Department of Economic Development regulations applicable to veterinary and pharmaceutical trade in Dubai.
- Delivery: All items shall be delivered to the specified address in Al Barsha 1, Dubai, United Arab Emirates, within fourteen (14) calendar days from the date of this Purchase Order confirmation. The supplier shall coordinate delivery windows with the receiving department of the veterinary clinic.
- Quality & Compliance: All veterinary pharmaceuticals, diagnostic equipment, and consumables must comply with the standards set by the Dubai Municipality Veterinary Department and the UAE Ministry of Climate Change and Environment. Products must carry valid import permits and be free from expiry dates falling within twelve (12) months of delivery.
- Payment Terms: Payment shall be made via bank transfer to the supplier's designated UAE bank account within thirty (30) days from the date of invoice, subject to satisfactory inspection and acceptance of all goods by the Lead Veterinarian or authorized representative of Al Marjan Veterinary Clinic.
- Warranty: The Caliber Digital Radiography Detector (Item 06) carries a manufacturer's warranty of twenty-four (24) months. The dental scaling kits (Item 03) carry a twelve (12) month warranty. All other items are warranted to be free from manufacturing defects for ninety (90) days from delivery.
- Rejection & Returns: Any item found to be damaged, expired, or non-conforming upon receipt may be rejected within five (5) business days. The supplier shall replace rejected items at no additional cost or issue a full credit note, at the buyer's discretion.
- Confidentiality: Both parties agree to maintain confidentiality regarding pricing, volumes, and the veterinary patient data that may be referenced in service agreements tied to this Purchase Order.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures in the United Arab Emirates, port restrictions at Jebel Ali or Dubai ports, or public health emergencies declared by UAE authorities.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to the Dubai International Arbitration Centre (DIAC) in accordance with its rules of procedure.
- Regulatory Note: The buyer confirms that Al Marjan Veterinary Clinic & Animal Hospital holds a valid veterinary practice license issued by the Dubai Municipality and that all controlled veterinary substances listed herein will be stored, dispensed, and administered in strict accordance with UAE veterinary pharmacology regulations.
