- Delivery: All goods shall be delivered to the Veterinary practice premises at 42 Harley Street, Marylebone, London, W1G 9PF, United Kingdom. The supplier is responsible for safe transport, insurance, and unloading at the designated loading bay. Delivery must be completed no later than 28 June 2025, with installation and training services to follow by 30 June 2025.
- Payment: Payment shall be made by BACS bank transfer within thirty (30) calendar days of receipt of a valid tax invoice from the supplier. Remittance details: Bank – Barclays PLC, Sort Code – 20-15-88, Account No – 55667788, Reference – PO GV-2025-04782. Late payment shall attract interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- Quality & Compliance: All veterinary medical devices, pharmaceuticals, and consumables supplied under this Purchase Order must comply with the UK Medical Devices Regulations 2002 (as amended), the Medicines for Human Use (Marketing Authorisations) (No. 2) Regulations 2012, and all applicable standards set by the Royal College of Veterinary Surgeons (RCVS). The supplier warrants that all items are new, unused, and free from defects.
- Warranty: The supplier provides a minimum twelve (12) month warranty on all capital equipment (Items 01, 02, and 03) from the date of installation and commissioning. Consumable items carry a three (3) month warranty against manufacturing defects. Any defective goods shall be replaced or repaired at the supplier's sole cost within fourteen (14) working days.
- Intellectual Property & Data: The practice management software licence (Item 08) is granted solely to Greenfield Veterinary Clinic & Animal Hospital for internal use at its London, United Kingdom premises. All patient data shall be stored on UK-based servers in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to acts of God, government sanctions, or supply chain disruptions affecting the United Kingdom.
- Governing Law: This Purchase Order and any disputes arising from it shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
- Acceptance: The buyer shall inspect all delivered goods within five (5) working days of receipt. Failure to notify the supplier of any discrepancy within this period shall constitute acceptance of the goods as conforming to this Purchase Order.
