1. Purpose and Scope of This Purchase OrderThis Purchase Order is issued by Chicago Lakeside Veterinary Clinic, LLC, a licensed veterinary practice operating in the United States Chicago metropolitan area, to procure essential medical supplies, diagnostic equipment, and pharmaceutical inventory required for the ongoing operation of our Veterinary services. All goods specified in this Purchase Order shall be delivered to the receiving dock at Chicago Lakeside Veterinary Clinic, LLC, located at 2145 North Lakeview Avenue, Suite 300, Chicago, Illinois 60614, United States. Delivery is scheduled no later than June 26, 2025. The Veterinarian in charge of receiving, Dr. Margaret Ellison, DVM, will inspect all items upon arrival. Any damaged, defective, or non-conforming goods must be reported in writing within five (5) business days of delivery. The vendor shall replace or credit any rejected items at no additional cost to the purchasing Veterinarian practice. Title and risk of loss transfer to the buyer upon physical receipt and written acceptance at the Chicago, Illinois facility.
5. Payment and CompliancePayment of the total Purchase Order amount of Twenty-Three Thousand Four Hundred Forty-Three Dollars and Eighty-One Cents (USD $23,443.81) shall be remitted via ACH transfer to the vendor's designated account within thirty (30) calendar days of the date of invoice, which shall not precede the date of accepted delivery. All transactions are subject to the commercial laws of the State of Illinois and the United States. The vendor warrants that all pharmaceutical and medical supplies listed herein are FDA-approved for veterinary use in the United States and comply with all applicable Illinois Department of Agriculture regulations governing the distribution of veterinary medicines in Chicago and its surrounding counties. This Purchase Order does not create a partnership, joint venture, or agency relationship between the parties.
6. General ConditionsTerms and Conditions Governing This Purchase Order
a) This Purchase Order is governed by the laws of the State of Illinois, United States, and any disputes arising hereunder shall be resolved in the Circuit Court of Cook County, Chicago, Illinois.
b) The vendor shall maintain current General Liability Insurance and Product Liability Insurance with minimum coverage of $2,000,000 per occurrence for the duration of this Purchase Order.
c) All veterinary pharmaceuticals must be stored and shipped in compliance with the United States Pharmacopeia (USP) standards and the Chicago Municipal Code regarding the transport of controlled and regulated substances.
d) The Veterinarian practice reserves the right to modify, cancel, or amend this Purchase Order in writing prior to the vendor's confirmation of shipment. Any such modification shall be documented as an addendum to this Purchase Order.
e) Late delivery beyond the specified date shall incur a penalty of 1.5% of the total Purchase Order value per calendar day, up to a maximum of 10%.
f) This Purchase Order, along with all attached specifications and vendor quotations, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements.
