- This Purchase Order constitutes a binding agreement between Los Angeles Veterinary Medical Group, Inc. (hereinafter "Buyer") and Pacific Coast Veterinary Supply Co. (hereinafter "Seller") for the procurement of veterinary supplies, equipment, and pharmaceutical products as itemized above.
- All pharmaceutical products and medications listed in this Purchase Order must be dispensed, stored, and administered in strict accordance with the California Business and Professions Code, Title 16, and the regulations of the California Board of Veterinary Medicine. Only a licensed Veterinarian in the State of California may authorize the use of controlled substances included in this order.
- The Seller warrants that all items shipped to the Los Angeles, United States delivery address shall be new, unused, and in full compliance with United States Food and Drug Administration (FDA) regulations and the American Veterinary Medical Association (AVMA) standards for veterinary practice.
- Delivery shall be made to the address specified in the "Ship To" section. The Seller is responsible for all transportation, insurance, and risk of loss until the goods are received and inspected at the Los Angeles facility. Delivery must be completed no later than July 1, 2025.
- Payment shall be made within thirty (30) calendar days of the date of invoice, provided that all goods have been received in satisfactory condition. Payment shall be made via ACH transfer to the Seller's designated United States bank account. Late payments shall accrue interest at a rate of 1.5% per month.
- The Buyer reserves the right to inspect all delivered items within five (5) business days of receipt. Any items found to be defective, expired, damaged, or non-conforming to the specifications in this Purchase Order shall be returned at the Seller's expense and replaced within ten (10) business days.
- All veterinary equipment (Items 002, 006, and 009) shall include a minimum two-year manufacturer's warranty, on-site installation, and operator training for the Veterinarian and technical staff at the Los Angeles clinic. Training sessions shall be conducted at the Buyer's facility in Los Angeles, California.
- This Purchase Order is governed by the laws of the State of California and the United States of America. Any disputes arising from this agreement shall be resolved through binding arbitration in Los Angeles, California, in accordance with the rules of the American Arbitration Association.
- The Seller acknowledges that all controlled substances and prescription medications included in this Purchase Order are intended exclusively for use by a licensed Veterinarian or under the direct supervision of a Veterinarian at the Buyer's Los Angeles, United States facility. The Seller shall provide all required documentation, including DEA registration numbers and California veterinary license verification, prior to shipment.
- Neither party may assign this Purchase Order without the prior written consent of the other party. This Purchase Order may be amended only by a written addendum signed by authorized representatives of both parties.
This Purchase Order is authorized and approved by the undersigned on behalf of Los Angeles Veterinary Medical Group, Inc. The Seller's acceptance of this Purchase Order shall be evidenced by a signed copy returned to the Buyer within five (5) business days of the date of issue.
