The receiving Veterinarian at Manhattan Veterinary Associates will inspect all items upon arrival at the United States New York City facility and sign the delivery manifest. - This Purchase Order constitutes a binding agreement between Manhattan Veterinary Associates, PLLC (hereinafter "the Veterinarian practice") and Hudson Valley Veterinary Supply Co. (hereinafter "the Supplier") upon written acceptance by both parties.
- All goods shall be delivered to the specified address in United States New York City, NY 10028, no later than the Required Delivery Date stated above. Late delivery exceeding five (5) business days entitles the Veterinarian practice to cancel this Purchase Order without penalty.
- Payment shall be made via ACH transfer to the Supplier's designated account within thirty (30) calendar days of the invoice date, provided all items conform to the specifications outlined in this Purchase Order.
- The Supplier warrants that all veterinary medications, diagnostic reagents, and equipment listed herein are new, unexpired, and in full compliance with the U.S. Food and Drug Administration (FDA) and New York State veterinary practice regulations.
- Any substitution of items requires prior written approval from the authorized Veterinarian, Dr. Elena Vasquez, DVM. Unauthorized substitutions will be rejected at the point of delivery in United States New York City.
- The Supplier shall maintain adequate product liability insurance (minimum $2,000,000 per occurrence) for the duration of this Purchase Order and any subsequent orders.
- Disputes arising from this Purchase Order shall be governed by the laws of the State of New York and resolved in the courts of New York County, United States New York City.
- This Purchase Order is valid for acceptance within ten (10) business days from the Order Date. After this period, pricing and availability are subject to reconfirmation.
