- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of confirmed delivery and acceptance of all goods listed in this Purchase Order. Payment shall be made via bank transfer to the supplier's designated account in Harare, Zimbabwe. The currency of this Purchase Order is the United States Dollar (USD) as per the prevailing exchange rate approved by the Reserve Bank of Zimbabwe.
- Delivery: All items must be delivered to the Harare Veterinary Services & Animal Health Centre in Borrowdale, Harare, Zimbabwe, no later than 26 June 2025. The supplier is responsible for all transportation, insurance, and handling costs within the Harare metropolitan area. Cold-chain items (vaccines, injectable solutions) must be delivered in validated temperature-controlled containers maintained between 2°C and 8°C.
- Quality and Compliance: All veterinary pharmaceuticals, vaccines, and medical devices supplied under this Purchase Order must comply with the standards set by the Zimbabwe Veterinary Council and the Medicines and Medical Devices Regulatory Authority of Zimbabwe (ZIMRA). The supplier must provide certificates of analysis, batch numbers, and expiry dates for all pharmaceutical products. The Lead Veterinarian at the Harare facility reserves the right to inspect and reject any goods that do not meet the specified quality standards.
- Warranty: All equipment (surgical kits, examination tables, X-ray machine) carries a minimum twelve (12) month manufacturer's warranty from the date of delivery. The supplier shall provide on-site repair or replacement within five (5) business days for any defective items during the warranty period.
- Regulatory Compliance: The supplier acknowledges that all veterinary medicines and controlled substances are subject to the Veterinary Medicines Act of Zimbabwe. Proper documentation, including import permits where applicable, must accompany all shipments. The Veterinarian in charge at the Harare facility will verify all regulatory documentation upon receipt.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through negotiation between the parties. If unresolved, the matter shall be referred to the Small Claims Court in Harare, Zimbabwe, or to arbitration under the rules of the Zimbabwe Arbitration Centre.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or supply chain disruptions affecting the Harare, Zimbabwe region.
