The Videographer and their associated crew shall be responsible for pre-production planning, on-site filming, post-production editing, color grading, sound mixing, and final delivery of all video deliverables in formats specified by the Buyer.

All filming locations shall be situated within the city of Buenos Aires, Argentina, including but not limited to the following venues: the Buenos Aires Convention Center (Palacio de las Convenciones), the historic San Telmo district, the modern Puerto Madero waterfront, and the Buyer's corporate headquarters on Avenida Corrientes. The Videographer is expected to coordinate with local authorities, venue management, and any necessary municipal permits required for commercial filming in Argentina Buenos Aires.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms herein shall be governed by the commercial laws of the Argentine Republic, with jurisdiction in the courts of Buenos Aires, Argentina.
2. The Videographer shall maintain full professional liability insurance and equipment insurance for the duration of the engagement. Certificates of insurance shall be provided to the Buyer prior to the first filming day.
3. All intellectual property rights in the final video deliverables shall transfer exclusively to the Buyer upon full payment. The Videographer retains the right to display the work in their professional portfolio, subject to the Buyer's written approval.
4. Payment shall be made in two installments: 50% upon execution of this Purchase Order and 50% upon acceptance of the final deliverables. Payment shall be made via bank transfer to the Supplier's account in Buenos Aires, Argentina.
5. The Videographer shall comply with all applicable labor, safety, and municipal regulations in Argentina Buenos Aires, including but not limited to the City of Buenos Aires filming permit requirements and Argentine labor law (Ley de Contrato de Trabajo).
6. Any changes to the scope of work, filming locations, or schedule must be documented in a written amendment to this Purchase Order and signed by both parties before execution.
7. In the event of force majeure (including but not limited to severe weather, government-mandated closures, or public health emergencies affecting Buenos Aires), either party may suspend performance without penalty, provided written notice is given within 48 hours.
8. The Videographer shall provide one (1) round of revisions on all post-production deliverables at no additional cost. Additional revision rounds shall be billed at ARS 85,000 per round.
9. All raw footage, project files, and intermediate deliverables shall be retained by the Videographer for a period of twelve (12) months following final delivery, after which they may be destroyed at the Supplier's discretion.
10. This Purchase Order is valid for acceptance until July 12, 2025. Failure to sign and return by this date shall render this document null and void.
