This Purchase Order is issued to the following Videographer service provider for the execution of professional video production services within the Bangladesh Dhaka metropolitan area and its surrounding districts:

The undersigned Videographer shall deliver a comprehensive package of professional video production services as specified in this Purchase Order. All filming, editing, post-production, and delivery activities shall be conducted primarily in Bangladesh Dhaka, with the Videographer responsible for all logistics, crew coordination, and equipment procurement within the Bangladesh Dhaka region.

The Videographer is expected to maintain industry-standard quality throughout the engagement, ensuring that all deliverables meet the creative brief approved by Meridian Creative Solutions Ltd. prior to commencement of work.

All prices are quoted in Bangladeshi Taka (BDT). The Videographer shall provide a detailed invoice upon completion of each milestone as outlined in Section 5.

Payment for this Purchase Order shall be made to the Videographer (Delta Frame Studios) in the following installments via bank transfer to the account specified on the vendor's invoice:

• 30% Advance (BDT 310,845): Due upon signed acceptance of this Purchase Order, payable within 7 working days.
• 40% Progress (BDT 414,460): Due upon completion of Milestone M2 (principal photography in Bangladesh Dhaka).
• 30% Final (BDT 310,845): Due upon acceptance of all final deliverables at Milestone M5.

Payment is due within 14 calendar days of receipt of a valid invoice. Late payments shall attract interest at 1.5% per month as per Bangladesh commercial practice.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes shall be resolved through arbitration in Bangladesh Dhaka under the Bangladesh Arbitration Act, 2001.
2. Intellectual Property: Upon full payment, all rights, title, and interest in the final video deliverables shall vest exclusively in Meridian Creative Solutions Ltd. The Videographer retains the right to display the work in their professional portfolio unless otherwise agreed in writing.
3. Insurance: The Videographer shall maintain comprehensive public liability insurance of no less than BDT 10,000,000 and equipment insurance covering all gear used during the Bangladesh Dhaka production.
4. Permits and Compliance: The Videographer is solely responsible for obtaining all necessary filming permits, location clearances, drone flight authorizations (NDCA), and any other regulatory approvals required to conduct videography operations in Bangladesh Dhaka.
5. Revisions: The Videographer shall include two (2) rounds of revisions at each post-production milestone at no additional cost. Further revisions shall be billed at BDT 15,000 per hour.
6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Bangladesh Dhaka, or pandemics.
7. Confidentiality: The Videographer agrees to keep all client materials, scripts, and unreleased footage strictly confidential and shall not disclose any information related to this Purchase Order to third parties without written consent.
8. Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Videographer shall be compensated for all work completed and non-cancellable expenses incurred up to the date of termination.
