This Purchase Order is issued by Horizonte Media Productions Ltda. to engage the services of a professional Videographer for the production of a corporate documentary and promotional video series to be filmed exclusively in Brazil, Brasília. The Videographer shall be responsible for all aspects of pre-production planning, on-site filming, post-production editing, color grading, sound mixing, and final delivery of all video assets in the formats and resolutions specified below.

- Payment Terms: 40% advance payment upon acceptance of this Purchase Order; 40% upon completion of all filming in Brasília; 20% upon final delivery and written acceptance of all video deliverables. Payment shall be made via bank transfer (TED/PIX) to the account designated by the Videographer vendor.
- Production Schedule: All filming activities in Brazil, Brasília shall commence no earlier than July 1, 2025, and all final deliverables must be submitted by July 15, 2025. The Videographer shall provide a detailed shot list and production schedule at least 10 business days prior to the start date.
- Equipment: The Videographer shall provide all professional-grade cameras, lenses, lighting, audio, and support equipment necessary for the production. All drone operations must comply with ANAC and DECEA regulations applicable to the Brasília metropolitan area.
- Intellectual Property: Upon full payment, all rights to the final video deliverables, including but not limited to the corporate documentary and promotional spots, shall be transferred exclusively to Horizonte Media Productions Ltda. The Videographer retains the right to include the work in their professional portfolio, subject to prior written approval from the Buyer.
- Revisions: The Videographer shall include two (2) rounds of revisions in the post-production phase. Additional revisions beyond the included rounds shall be billed at R$ 2,500.00 per day.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather conditions in Brasília, government-mandated closures, or civil unrest.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with jurisdiction vested in the courts of Brasília — DF.
- Confidentiality: The Videographer and all crew members shall sign a Non-Disclosure Agreement (NDA) prior to commencing any filming activities in Brasília. All raw footage and intermediate files shall be stored on encrypted media and shall not be disclosed to any third party.
- Insurance: The Videographer shall maintain comprehensive professional liability insurance and equipment insurance with a minimum coverage of R$ 500,000.00 for the duration of the production in Brazil, Brasília.
