Payment for this Purchase Order shall be made in three installments via bank transfer (TED/PIX) to the account designated by the Videographer:
- Installment 1 (40%): R$ 40,360.00 — Due upon signature and acceptance of this Purchase Order, prior to the commencement of pre-production activities.
- Installment 2 (40%): R$ 40,360.00 — Due within five (5) business days following the completion of all on-site filming in Brazil São Paulo.
- Installment 3 (20%): R$ 20,180.00 — Due within ten (10) business days after the Buyer’s written approval of the final video deliverables.
All amounts are subject to applicable Brazilian taxes (ISS, PIS, COFINS, and IR) as per the current tax regulations in the state of São Paulo. The Videographer shall issue a Nota Fiscal Eletrônica (NF-e) for each installment.

- The Videographer warrants that all footage captured in Brazil São Paulo shall be of professional 4K resolution minimum, with proper audio synchronization and color accuracy.
- The Videographer shall comply with all local filming permits and regulations required by the city of São Paulo and the state of São Paulo, Brazil. Any permit fees are included in the line items above.
- The Buyer reserves the right to request up to two (2) rounds of revisions on the edited video at no additional charge. Additional revisions shall be billed at R$ 2,500.00 per round.
- All intellectual property rights to the final video deliverables shall transfer to the Buyer upon full payment. The Videographer retains the right to display the work in their professional portfolio.
- In the event of force majeure (including but not limited to severe weather, civil unrest, or government-mandated shutdowns in Brazil São Paulo), the Videographer shall notify the Buyer within 24 hours, and the schedule shall be adjusted mutually.
- This Purchase Order is governed by the laws of the Federative Republic of Brazil, and any disputes shall be resolved in the courts of the city of São Paulo, SP.
- The Videographer shall maintain full professional liability insurance coverage for the duration of the project.
