Payment for this Purchase Order shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the account designated by the Videographer. The payment schedule is as follows:
- 30% Deposit ($10,194.68): Due upon execution of this Purchase Order and confirmation of the production schedule by the Videographer.
- 40% Progress Payment ($13,592.91): Due upon completion of principal photography and delivery of raw footage to the buyer for review.
- 30% Final Payment ($10,194.69): Due within fifteen (15) business days of final acceptance of all deliverables by the buyer's creative director.
All payments are subject to the terms set forth in this Purchase Order. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with the Interest Act of Canada and applicable Quebec civil law provisions.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Canada Montreal in accordance with the rules of the ADR Institute of Canada.
- Intellectual Property: Upon full and final payment, all rights, title, and interest in the final video deliverables, including but not limited to the master file, social media cutdowns, and all associated motion graphics, shall vest exclusively in Laurentide Media Productions Inc. The Videographer retains the right to include the final work in their professional portfolio and showreel, subject to prior written approval from the buyer.
- Confidentiality: The Videographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and internal operations of the buyer encountered during the production process in Canada Montreal. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Insurance: The Videographer shall maintain, at their own expense, comprehensive general liability insurance with a minimum coverage of $5,000,000 CAD per occurrence, as well as professional liability (errors and omissions) insurance of $2,000,000 CAD. Certificates of insurance naming Laurentide Media Productions Inc. as an additional insured shall be provided prior to the commencement of any filming activities in Canada Montreal.
- Compliance: The Videographer warrants that all services rendered under this Purchase Order shall comply with the Act respecting the protection of privacy and the protection of personal information in the private sector (Quebec Law 25), the Canadian Personal Information Protection and Electronic Documents Act (PIPEDA), and all applicable municipal bylaws of the City of Montreal.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to severe weather conditions affecting filming in Canada Montreal, government-mandated closures, or acts of God. The affected party shall notify the other within forty-eight (48) hours of the occurrence.
- Revisions: The Videographer shall include two (2) rounds of revisions in the post-production phase at no additional cost. - Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. - Warranty: The Videographer warrants that all deliverables shall be free from technical defects, shall conform to the specifications outlined in this Purchase Order, and shall not infringe upon any third-party intellectual property rights. The warranty period shall be ninety (90) days from the date of final delivery.
By signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for Videographer services to be performed in Canada Montreal. This document constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
