- Scope of Work: The Videographer and all supporting crew engaged by North Star Visual Studios Ltd. shall perform all services as described in this Purchase Order. The Videographer is responsible for ensuring all footage meets the technical specifications outlined in the attached creative brief, including minimum 4K resolution, 24fps or 30fps frame rates, and professional-grade audio at -12dB or higher.
- Location & Jurisdiction: All filming, editing, and delivery activities shall take place within Canada Toronto, Ontario, Canada. This Purchase Order is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Toronto before proceeding to litigation.
- Payment Schedule: A deposit of fifty percent (50%) of the total Purchase Order amount, being $17,289.00 CAD, is due upon execution of this document. The remaining fifty percent (50%), being $17,289.00 CAD, shall be invoiced upon final delivery of all edited materials and is payable within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1.5% per month.
- Intellectual Property: Upon full and final payment, all rights, title, and interest in the final delivered video content, including but not limited to the edited master files, raw footage, and all associated audio, shall transfer exclusively to Maple Leaf Media Productions Inc. The Videographer retains the right to display the work in their professional portfolio and showreel, subject to prior written approval from the Buyer.
- Insurance & Liability: The Videographer and North Star Visual Studios Ltd. shall maintain comprehensive general liability insurance with a minimum coverage of $5,000,000 CAD and professional indemnity insurance of $2,000,000 CAD for the duration of this engagement. Certificates of insurance shall be provided to the Buyer prior to the commencement of any filming in Canada Toronto.
- Cancellation & Rescheduling: Either party may cancel this Purchase Order with a minimum of fourteen (14) calendar days written notice. In the event of cancellation by the Buyer after the Videographer has commenced pre-production activities, the Buyer shall be liable for all costs incurred up to the date of cancellation, not to exceed the total Purchase Order value. Weather-related delays in Canada Toronto shall not constitute a breach by either party, and the schedule shall be adjusted by mutual agreement.
- Compliance: The Videographer shall comply with all applicable federal and provincial regulations of Canada, including but not limited to the Personal Information Protection and Electronic Documents Act (PIPEDA), the Ontario Employment Standards Act, and all municipal bylaws of the City of Toronto pertaining to commercial filming permits, noise ordinances, and public property usage.
- Confidentiality: The Videographer and all personnel engaged under this Purchase Order shall treat all proprietary information, trade secrets, and unreleased content of Maple Leaf Media Productions Inc. as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Acceptance: The Buyer shall have five (5) business days from the date of final delivery to review and accept or reject the completed Videographer deliverables. Failure to provide written notice of rejection within this period shall constitute deemed acceptance of the work.
